Suppliers and Clients. To the knowledge of the Transferor after reasonable and prudent inquiry, there is no notice sent by any party or other client or supplier which is a party to any Business Contract required to be transferred prior to the Closing Date or in connection with the Target Business to the Transferor or Kankan stating its intention to reduce or cease the material business contact with the Transferor or Kankan, and no undertaking or intention expressed by the said party or other client or supplier to substantially reduce or terminate the material business with Kankan or the Transferor.
Suppliers and Clients. During the past twelve months, no material licensor, vendor, supplier or licensee, or any client of the Company or any of its Subsidiaries accounting for more than 1% of the Company's or any of its Subsidiaries' revenues during such period, has canceled or otherwise materially adversely modified its relationship with the Company or any of its Subsidiaries and, to the Knowledge of the Company, no such Person has any intention to do so, and, to the Knowledge of the Company, there are no disputes or notices of dissatisfaction with or from any such client of the Company or any of its Subsidiaries, which is reasonably likely to result in a cancellation, termination or materially adverse modification of any such relationship and, to the Knowledge of the Company, the consummation of the transactions contemplated hereby shall not adversely affect any relationships with such clients.

Suppliers and Clients. (a) Section 3.22(a) of the Disclosure Schedule sets forth a list of (i) the 10 largest suppliers of the Company Group (based on the dollar value of products or services purchased by the Company Group for the fiscal year ended December 31, 2012) and (ii) the 20 largest clients of the Company Group (based on the dollar value of sales by the Company Group for the fiscal year ended December 31, 2012).
Suppliers and Clients. LECG shall provide Xxxxxxx with a true and accurate list of (i) all of the clients that generated at least $250,000 in revenues to LECG in any of the last three calendar years with whom LECG and its Subsidiaries have had engagements since December 31, 1995 and (ii) a list of all LECG clients with xxxxxxxx in 1998 in excess of $100,000. Since the date of the LECG Latest Balance Sheet, no client of LECG and its Subsidiaries accounting for more than 5% of LECG's revenues in fiscal 1997, has canceled, materially reduced the scope of, or otherwise adversely modified its relationship with LECG or its Subsidiaries and, no such Person has any intention to do so, and there are no disputes or problems or notices of dissatisfaction with or from any such client of LECG or its Subsidiaries and the consummation of the transactions contemplated hereby will not, to the knowledge of LECG, adversely affect any relationships with such clients. 3.27.
Suppliers and Clients. Section 3.2(t) of the Company Disclosure Schedule lists all of the existing clients of the Company as of the Closing Date and all clients with whom the

Except as set forth on Schedule 4.1(s), the relationship of NSE with its suppliers and clients are good commercial working relationships and no supplier or client of NSE has canceled, curtailed or otherwise terminated or, to the knowledge of NSE, threatened to cancel or otherwise terminate, his or its relationship with NSE. NSE has no knowledge, or reason to believe, that the Merger or any other transaction contemplated hereby would adversely affect any such supplier or client relationship. CONFLICTING INTERESTS. Except as set forth on Schedule 4.1(t), no director, officer, employee or stockholder of NSE, and no relative or affiliate of any of the foregoing (i) sells or purchases goods or services from NSE or has any pecuniary interest in any supplier or client of any of the foregoing or in any other business enterprise with which NSE conducts business or with which any of the foregoing is in competition, or (ii) is indebted to NSE except for money borrowed and as set forth on the Warranted Balance Sheet.

Since the Latest Balance Sheet Date, no material licensor, vendor, supplier or licensee, or any client of the Company with a contract involving an amount in excess of $100,000, has canceled or otherwise reduced the scope of its engagement with the Company and, to the Knowledge of the Company or any of the Principal Shareholders, no such Person has any intention to do so, and, to the Knowledge of the Company or any of the Principal Shareholders, there are no disputes or problems or notices of dissatisfaction with or from any client of the Company and, to the Knowledge of the Company and the Principal Shareholders, the consummation of the transactions contemplated hereby shall not adversely affect any relationships with such clients.

Since the Latest Balance Sheet Date, no material licensor, vendor, supplier or licensee, or any client of the Company accounting for more than $350,000 of the Company's consolidated expenses or revenues, as applicable, in fiscal 1996, has canceled or otherwise adversely modified its relationship with the Company or any Subsidiary and, to the Actual Knowledge of the Company or any of the Shareholders, no such Person has any intention to do so, and, to the Actual Knowledge of the Company or any of the Shareholders, there are no disputes or problems or notices of dissatisfaction with or from any client of the Company, and the consummation of the transactions contemplated hereby shall not adversely affect any relationships with any such client.

Since the Latest Balance Sheet Date, no material licensor, vendor, supplier or licensee, or any client of the Company accounting for more than 1% of the Company's revenues in fiscal 1996, has canceled or otherwise adversely modified its relationship with the Company and, to the Knowledge of the Company or any of the Stockholders, no such Person has any intention to do so, and, to the Knowledge of the Company or any of the Stockholders, except as set forth on Section 3.2(u) of the Chi Disclosure Schedule, there are no disputes or problems or notices of dissatisfaction with or from any client of the Company, and the consummation of the transactions contemplated hereby shall not adversely affect any relationships with such clients.
