Accrued Bonus definition

Accrued Bonus means the bonus, which may be negative or positive, which is calculated in the manner set forth in Section V.A.
Accrued Bonus means the sum of (A) any unpaid but vested Bonus for the fiscal year ending before Termination Notice is given and (B) any excess of (i) your target Bonus for the fiscal year in which Termination Notice is given multiplied by the number of days of your employment since the fiscal year ending before Termination Notice is given divided by 365 over (ii) any Bonus paid to you for a fiscal year ending after Termination Notice is given.
Accrued Bonus means a Participant’s accrued, but unpaid as of a Participant’s Termination Date, annual cash bonus for any completed fiscal year of the Company preceding a Participant’s Termination Date.

  • Notwithstanding the foregoing, the Executive shall be entitled to receive any Accrued Base Salary and Accrued Bonus.

More Definitions of Accrued Bonus

Accrued Bonus shall be determined using the number of days in the applicable calendar year that the Employee was employed by the Company and the applicable performance criteria under the bonus plan, in each case through the date of termination or resignation) through and including the date of termination or resignation, as well as any unreimbursed expenses. Except to the extent required by the terms of any applicable compensation or benefit plan or program or as otherwise required by applicable law, the Employee shall have no rights under this Agreement or otherwise to receive any other compensation or to participate in any other plan, program or arrangement after such termination or resignation of employment with respect to the year of such termination or resignation and later years.
Accrued Bonus means, to the extent not previously awarded or paid, your Bonus for the fiscal year in which your termination of employment occurs based on the achievement of actual performance goals (taking into account, to the extent consistent with any applicable requirements of Section 162(m) of the Code, the status of such performance goals at the date of termination and disregarding any subjective performance goals and any other exercise by the Board or any committee thereof of negative discretion) multiplied by the number of days of your employment since the fiscal year ending before such date of termination divided by 365.
Accrued Bonus means an annual cash performance bonus for a calendar year ended prior to the year which includes the Termination Date: (a) with respect to which the Compensation Committee determines, in its reasonable discretion, that the performance goals, conditions or metrics related thereto have been achieved by a Participant; and (b) which has not been paid to such Participant on or before such Participant’s Termination Date.
Accrued Bonus is defined in Section 5(b)(i).
Accrued Bonus determined as of Executive’s Date of Termination means any bonus or other cash incentive compensation earned or accrued on the Company’s books as of or through the Date of Termination in accordance with this Section 3.5. In making this calculation, to the extent applicable: (i) Executive’s based compensation or other earnings will be based on actual earnings through the Date of Termination (determined without regard to any reduction therein constituting Good Reason within the meaning of Section 2.7(b)), (ii) any individual contribution percentage or individual performance factor will be set at 100%, and (iii) any Company performance factors will be based on those used to calculate bonus accruals for the most recently completed fiscal quarter of the fiscal year in which the Date of Termination falls, unless the Date of Termination falls within the Company’s first fiscal quarter of the fiscal year, in which case any Company performance factors will be calculated as reasonably determined by the Company in good faith.
Accrued Bonus means a pro-rated amount equal to the product of (i) the annual incentive compensation Executive would have been entitled to receive under Paragraph 3(b) for the calendar year in which his active service for the Company terminates pursuant to Paragraph 6(a) had he remained employed for the entire year and assuming that all targets for such year had been met, multiplied by (ii) a fraction, the numerator of which is equal to the number of days in such calendar year occurring on or prior to the termination of Executive's active service for the Company (including any period of absence due to disability) and the denominator of which is 365.
Accrued Bonus shall be determined based on the target amount for which the Executive is eligible as described in Section 3(b) above using the number of days in the applicable calendar year that the Executive was employed by the Company (through the date of termination or resignation). In addition, the Company shall pay to the Executive as severance (the “Severance Payments”) within thirty (30) days after the date of termination a lump-sum payment in an amount equal to the sum of Executive’s Salary at the rate in effect immediately prior to such Involuntary Termination plus fifty percent (50%) of the Executive’s Bonus based on the target amount for which the Executive is eligible as described in Section 3(b) above.
