  • If either Party (the Contesting Party) contests the application of any Tax collected by the other Party (the Collecting Party), the Collecting Party shall reasonably cooperate in good faith with the Contesting Party's challenge, provided that the Contesting Party pays any reasonable costs incurred by the Collecting Party.

  • Without limiting the foregoing, the Accessing Party represents and warrants that it has appropriate security measures in place to protect any Personal Data provided by the Collecting Party pursuant to this Agreement.

  • To the extent the Collecting Party is not the "secured party" (as defined in the Uniform Commercial Code) in respect of any security interest and/or guarantee, the other party shall provide such authorizations reasonably necessary in order to permit the Collecting Party to exercise remedies in accordance with this Section 2.11.

Related to Collecting Party

  • Originating Party means the Party, including any entity which provides Classified Information in accordance with the laws and regulations in force in its state;
