Covered Employees definition

Covered Employees has the meaning set forth in Section 5.11(a).

Covered Employees means all employees and agents of the Company who are responsible for performing, supervising, overseeing, or managing activities related to the maintenance of online political files, as required by the Political Record- Keeping Statute and Rule.

Covered Employees means those persons who are subject to the limitations of Code Section 162(m).

Examples of Covered Employees in a sentence

• At least twenty (20) days prior to the Closing Date, except as otherwise provided in this paragraph, Buyer or one of its Affiliates shall make a written offer of employment, effective as of the Closing Date and contingent upon the Closing, to each of the Covered Employees not employed by a Transferred Entity.

• Any Covered Employee who becomes employed by Buyer or one of its Affiliates in accordance with this Section 6.10(a) is referred to as a “Transferred Employee.” With respect to union-represented Covered Employees, such offers shall be consistent with the terms and conditions required by the governing Modified Labor Agreements, if any and to the extent such agreements are applicable.

• Except for union-represented Covered Employees, such offer of employment shall be (i) at the same location of employment as such Covered Employee’s location of employment as of immediately prior to Closing, (ii) on substantially similar terms and conditions of employment as in effect immediately prior to Closing and (iii) with compensation and benefits at a level consistent with Section 6.10(b).

• All Covered Employees (including those on leave of absence or disability) employed by a Transferred Entity shall become or continue to be employees of Buyer or an Affiliate of Buyer effective as of the Closing Date.

More Definitions of Covered Employees

Covered Employees means those persons who the Committee determines are subject to the limitations of Section 162(m) of the Code.

Covered Employees means all employees and agents of the Licensee who are responsible for performing, supervising, overseeing, or managing activities related to the maintenance of online public inspection files, as required by the Online Public Inspection File Rule.

Covered Employees means those individuals whose compensation is subject to the deduction limitations of Code Section 162(m).

Covered Employees means employees who are actively employed by the Company or any Company Subsidiary at the Effective Time; and (ii) the term “Continuation Period” means the period beginning at the Effective Time and ending on the first anniversary of the Effective Time.

An employee’s full-time, part-time or temporary status for the purpose of this Plan is determined by the Plan Administrator upon review of the employee’s status immediately before termination. Any person who is classified by the Company as an independent contractor or third party employee is not eligible for severance benefits even if such classification is modified retroactively.

Covered Employees means all employees and agents of Shentel who perform, supervise, oversee, or manage the performance of, duties that relate to Shentel’s responsibilities under the Communications Laws, including the 911 Rules.
