Current Feature definition

Current Feature means a feature-length motion picture (i) that has a Home Video Street Date which is during the Term or not more than sixty (60) days prior to the commencement of the Term, and (ii) for which Licensor and/or any other SPE Entity controls during the applicable License Period the Necessary Rights applicable, as the case may be, to Pay-Per-View or Video-On-Demand (it being understood and agreed that the grant by Licensor or any other SPE Entity to a third party of an exclusive license to exploit, or an agreement restricting Licensor’s exploitation of, the Necessary Rights shall not be deemed to divest Licensor or such other SPE Entity of control of such Necessary Rights for any purpose hereunder). Notwithstanding anything to the contrary contained herein, if any motion picture that would qualify as a Current Feature as set forth above has a Home Video Street date that is more than ten (10) months after its Initial U.S. General Theatrical Release date or, in the case of Sony Pictures Classics releases, that is more than twelve (12) months after its Initial U.S. General Theatrical Release (if such motion picture had a Initial U.S. General Theatrical Release), then Licensee shall have the option to include or exclude such motion picture as a Current Feature hereunder (any such motion picture so excluded by Licensee as a Current Feature shall herein be referred to as an “Excluded Delayed Current Feature” and shall be a Library Film hereunder).
Current Feature means a feature-length audio-visual program (a) that is initially released theatrically, direct-to-video (“DTV”) or on television (“MFT”) in the United States or the Territory, (b) with a VOD Availability Date during the VOD Avail Term, (c) the Availability Date for which is either (i) no more than twelve (12) months after its initial theatrical release in the Territory, or, in the case of a Sony Pictures Classics release, no more than fourteen (14) months after its initial theatrical release in the Territory, or (ii) with respect to DTV, no more than six (6) months after its Home Video Street Date, or (iii) with respect to MFT, no more than six (6) months after its initial television exhibition in the Territory, and
Current Feature means a feature-length audio-visual program (a) that is initially released theatrically, direct-to-video (“DTV”) or on television (“MFT”) in [the United States or] the Territory, (b) with an Availability Date during the Avail Term, (c) the Availability Date for which is either (i) no more than 12 months after its initial theatrical release in [the United States or] the Territory, or, in the case of a Sony Pictures Classics release, no more than 14 months after its initial theatrical release in [the United States or] the Territory, or (ii) no more than [90] 11 days after its Home Video Street Date, or (iii) with respect to a MFT, no more than 6 months after its initial television exhibition in [the United States or] the Territory, and (d) for which Licensor [unilaterally] 12 controls without restriction all rights, licenses and approvals necessary to grant the rights granted hereunder ( “Necessary Rights”).

Examples of Current Feature in a sentence

  • Licensor’s mere failure of the foregoing shall in no event deemed to be, or in any way constitute, a breach of this Agreement, and Licensee shall not be entitled to any rights or remedies as a result of such failure, except as otherwise expressly set forth in this Section 5.8. Licensor shall be deemed to control the Necessary Rights in a Current Feature or Library Film if any other SPE Entity controls such rights.

  • Each Current Feature and Library Film licensed hereunder shall be an “Included Program” and each Included Program shall fall from time to time in one or more of the “Categories” set forth below.

  • The “DHE Distributor Price” for each DHE Included Program that is a Current Feature (including a Premium Current Feature) or Library Feature shall be determined by Licensor in its sole discretion.

  • The VOD License Period for each VOD Included Program shall commence on its VOD Availability Date and shall expire on the date established by Licensor in its sole discretion; provided, that the VOD License Period for each Current Feature shall end no earlier than the earliest of (i) 60 days after its VOD Availability Date (ii) the date on which Licensor’s “standard” residential Video-On-Demand window for the Territory ends and (iii) the termination of this Agreement for any reason.

  • The PPV Availability Date for each Current Feature will be determined by Licensor in its sole discretion, but shall occur no later than 60 days after such Current Feature’s Home Video Street Date in the U.S. (subject solely to Section 8(c) below).

  • The VOD License Period for each Current Feature and Additional Feature commences on its VOD Availability Date and ends on the earlier later of (a) 90 days after the VOD Availability Date for such Current Feature or Additional Feature and.

  • Licensor may update Deemed Prices and/or add or remove pricing tiers at any time in Licensor’s sole discretion pursuant to the notice procedures set forth in Article 22 of Schedule A, the Standard Terms and Conditions of the Agreement; provided, that Licensee shall receive the standard residential VOD pricing tiers in the Territory for each Premium Current Feature.

  • The VOD License Period for each VOD Included Program shall commence on its VOD Availability Date and shall expire on the date established by Licensor in its sole discretion, provided, that the VOD License Period (a) for each VOD Current Feature shall end no earlier than sixty (60) days after its VOD Availability Date, and [Note to GVT: 90 days is our standard as well but we need to shorten windows in some instances because of subsequent windows.

  • Licensor shall provide Licensee with periodic availability lists setting forth each Current Feature to be licensed hereunder along with its Availability Date.


More Definitions of Current Feature

Current Feature means a feature-length audio-visual program (a) that is initially released theatrically, in [the United States or] the Territory, (b) with an Availability Date during the Avail Term, (c) is in the English language or a Sony Pictures Classics release produced in a language other than English, (d) was produced substantially in color, (e) is not a documentary or a concern film, (f) is not rated by the MPAA more restrictively than “R” (or a comparable rating if a new rating system replaces the MPAA rating system), (g) the applicable Availability Date for which is either (i) no more than 12 months after its initial theatrical release by SPE or another Major Studio in [the United States or] the Territory, or, in the case of a Sony Pictures Classics release, no more than 14 months after its initial theatrical release in [the United States or] the Territory, (h) with a Domestic Box Office of at least $1 million and (j) for which Licensor unilaterally controls without restriction all Necessary Rights. Notwithstanding the foregoing,
Current Feature means a feature-length audio-visual program (a) that is initially released theatrically, direct-to-video (“DTV”) or on television (“MFT”) in the United States or the applicable Territory, (b) with an Availability Date during the Avail Term, (c) the Availability Date for which is either (i) no more than 12 months after its initial theatrical release in the United States or the applicable Territory, or, in the case of a Sony Pictures Classics release, no more than 14 months after its initial theatrical release in the United States or the applicable Territory, or (ii) no more than 90 days after its Home Video Rental Street Date, or (iii) with respect to a MFT, no more than 6 months after its initial television exhibition in the United States or the applicable Territory, and (d) for which Licensor unilaterally controls without restriction all rights, licenses and approvals necessary to grant the rights granted hereunder ( “Necessary Rights”).

Related to Current Feature

  • Water feature means a design element where open water performs an aesthetic or recreational function. Water features include ponds, lakes, waterfalls, fountains, artificial streams, spas, and swimming pools (where water is artificially supplied). The surface area of water features is included in the high water use hydrozone of the landscape area. Constructed wetlands used for on-site wastewater treatment, habitat protection, or storm water best management practices that are not irrigated and used solely for water treatment or storm water retention are not water features and, therefore, are not subject to the water budget calculation.

  • Established catalogue price means the price included in a catalogue, price list, schedule, or other form that:

  • CLASS Features means certain CCIS-based features available to Customers, including: Automatic Call Back; Caller Identification and related blocking features; Distinctive Ringing/Call Waiting; Selective Call Forward; and Selective Call Rejection.

  • Reference Schedule means the reference schedule in Part A of this Invitation

  • Life-cycle cost means the expected total cost of ownership during the life of a product, including disposal costs.

  • Three-dimensional reference system means a system as described in Appendix 2 to this annex;

  • Prices & Rates Schedule means the Schedule containing details of the Contract Price.

  • Non-Use Fee has the meaning specified in the Fee Letter.

  • Established catalog price means the price included in a catalog, price list, schedule, or other form that:

  • Trip Cost means the dollar amount of Trip payments or deposits paid by the Insured prior the Insured’s Trip Departure Date and shown on any required application which is subject to cancellation penalties or restrictions. Trip cost will also include the cost of any subsequent pre-paid payments or deposits paid by the Insured for the same Trip, after application for coverage under this plan provided the Insured amends the Application to add such subsequent payments or deposits and pays any required additional plan cost prior to the Insured’s Departure Date.

  • Accrual Components As specified in the Preliminary Statement.

  • Expense Fee Rate As to each Mortgage Loan, the sum of (a) the related Servicing Fee Rate and (b) the Trustee Fee Rate.

  • Applicable Fee Rate means, at any time, the percentage rate per annum at which Commitment Fees are accruing on the unused portion of the Aggregate Commitment at such time as set forth in the Pricing Schedule.

  • Catalog Pricing and Pricing Requirements This is a requirement of the TIPS Contract and is non-negotiable. In this solicitation and resulting contract, "Catalog Pricing" shall be defined as: "The then available list of goods or services, in the most current listing regardless of date, that takes the form of a catalog, price list, price schedule, shelf-price or other viewable format that:

  • Program Fee Rate has the meaning set forth in the Fee Letter.

  • Soft Target means a target that will suffer minimum damage and cause minimum damage to the subject vehicle in the event of a collision.

  • Custom Calling Features means a set of Telecommunications Service features available to residential and single-line business customers including call-waiting, call-forwarding and three-party calling.

  • Bid with Lowest Evaluated Cost means the bid quoting lowest cost amongst all those bids evaluated to be substantially responsive;

  • Multiplier means 1.0.

  • SAP Training Catalogue means the catalogue published by SAP containing details of SAP training courses and services.

  • L/C Fee Rate with respect to each Letter of Credit at any date, the applicable percentage per annum set forth below based upon the Status on such date: Level I Level II Level III Level IV Level V Level VI Status Status Status Status Status Status ------ ------ ------ ------ ------ ------ 0.45% 0.50% 0.60% 0.70% 0.90% 1.20%

  • Reference Cut-Off Date means the eighth Scheduled Trading Day immediately following the Scheduled Reference Date or, if earlier, the Scheduled Trading Day falling on or immediately preceding the second Business Day immediately preceding the due date on which payment of any amount or delivery of any assets may have to be made pursuant to any calculation or determination made on such Reference Date, provided that the Reference Cut-Off Date shall not fall prior to the original date on which such Reference Date was scheduled to fall.

  • CPI Daily Inflation Reference Index means (A) in relation to the first day of any given month, the CPI Monthly Reference Index of the third month preceding such month, and (B) in relation to a day (D) (other than the first day) in any given month (M), the linear interpolation of the CPI Monthly Reference Index pertaining respectively to the third month preceding such month (M - 3) and the second month preceding such month (M - 2) calculated in accordance with the following formula:

  • Base Cost means base cost as defined in paragraph 1 of the Eighth Schedule;

  • Pricing means any and all fees, rates and prices payable under this Contract, including pursuant to any Schedule or Exhibit hereto.
