Disclosure Materials definition

Disclosure Materials has the meaning set forth in Section 3.1(h).

Disclosure Materials means, collectively, the SEC Documents and the Schedules to this Agreement and all other information furnished by or on behalf of the Company relating to or concerning the Company and provided to Southridge or their agents and counsel in connection with the transactions contemplated by this Agreement.

Examples of Disclosure Materials in a sentence

• Each of the Company and its Controlled Entities has full corporate power and authority to own or lease, as the case may be, and to operate its properties and conduct its business as described in the Disclosure Materials and the Prospectus, and is duly qualified to do business under the laws of each jurisdiction which requires such qualification.

• The Company does not own or control, directly or indirectly, any corporation, association or entity other than the Controlled Entities described in the Registration Statement, the Disclosure Materials and the Prospectus.

• Neither the Company nor any of its Controlled Entities has sent or received any communication regarding termination of, or intent not to renew, any material contract or agreement referred to or described in the Registration Statement, the Disclosure Materials and the Prospectus or filed as an exhibit to the Registration Statement, and no such termination or non-renewal has been threatened by the Company or any of its Controlled Entities or by any other party to any such contract or agreement.

• Neither the Company nor any of its Controlled Entities is a party to any memorandum of understanding, letter of intent, definitive agreement or any similar agreements with respect to a merger or consolidation or an acquisition or disposition of assets, technologies, business units or businesses which is required to be described in the Registration Statement, the Disclosure Materials and the Prospectus and which is not so described.

• The Company’s ownership and control of each Controlled Entity and each Controlled Entity’s ownership and control of other Controlled Entity, is as described in the Registration Statement, the Disclosure Materials and the Prospectus.

More Definitions of Disclosure Materials

Disclosure Materials shall have the meaning ascribed to such term in Section 3.1(h).

Disclosure Materials means the SEC Disclosure Documents and the Company’s Schedules to this Agreement, collectively.
