Maximum Shares Upon Exercise definition

Maximum Shares Upon Exercise means the maximum number of shares of Common Stock issuable under a Common Stock Equivalent upon complete exercise and full conversion of all Rights or Convertible Securities represented thereby, computed without regard to contingent adjustments to the number of shares issuable upon exercise and conversion (other than adjustments caused solely by the passage of time which increase the number of shares issuable upon exercise and conversion).
Maximum Shares Upon Exercise means the maximum number of shares of Common Stock issuable under a Common Stock Equivalent upon complete exercise and full conversion of all Rights and Convertible Securities represented thereby, computed without regard to contingent adjustments to the number of shares issuable upon such exercise and conversion (other than adjustments caused solely by the passage of time which increase the number of shares issuable upon exercise and conversion).
Maximum Shares Upon Exercise means the maximum number of shares of Common Stock issuable at any time during the term of a Common Stock Equivalent upon complete exercise or full conversion of the Convertible Securities or Rights or presently represented by Participating Securities, computed without regard to contingent adjustments to the number of shares issuable upon exercise or conversion (other than adjustments caused solely by the passage of time which increase the Maximum Shares upon Exercise). For the purpose of calculating Maximum Shares upon Exercise, the number of shares of Common Stock represented by each share of Participating Securities shall be the highest (excluding infinitely large numbers and numbers calculated by dividing by zero) of: (a) that proportion of the dividends of the Company to which a share of Participating Securities is entitled because of its right of participation compared to the proportion of dividends of the Company to which a share of Common Stock is entitled; (b) that proportion of any liquidation distribution of the Company to which a share of Participating Securities is entitled because of its right of participation compared to the proportion of any liquidation distribution of the Company to which a share of Common Stock is entitled; or (c) the maximum number of shares of Common Stock issuable upon conversion or exercise of a Participating Security at any time during the term of any Participating Security which is also a Convertible Security, upon complete conversion or exercise thereof, without regard to contingent adjustments to the number of shares issuable upon exercise or conversion (other than adjustments caused solely by the passage of time which increase Maximum Shares upon Exercise).

Related to Maximum Shares Upon Exercise

  • Aggregate Option Exercise Price means, as of any date of determination, the sum of the exercise prices payable upon exercise in full of all Vested Options held by all Optionholders immediately prior to the Effective Time, based on the Estimated Merger Consideration or the Final Adjusted Merger Consideration, as applicable.

  • Total Exercise Price shall have the meaning set forth in Section 4(a) hereof.

  • Initial Exercise Price shall have the meaning set forth in Section 2.4.1.

  • Option Exercise Price means the price at which a share of Common Stock may be purchased upon the exercise of an Option.

  • Exercise Price Per Share ; hereinafter "Exercise Price" means the exercise price with respect to all Shares acquired pursuant to each exercise of the Option).

  • Warrant Exercise Price means $0.01 per share.

  • Minimum Exercise Amount means the Minimum Exercise Amount as specified in § 1 of the Product and Underlying Data.

  • Exercise Price means the initial exercise price or the adjusted exercise price, depending on the context.

  • Purchase Price Per Share means $0.01 per share, as may be adjusted from time to time in accordance with Section 5 or 6.

  • Warrant Exercise Period shall commence (subject to Section 6(d) below), on the later of:

  • Ordinary Shares Equivalents means any securities of the Company or the Subsidiaries which would entitle the holder thereof to acquire at any time Ordinary Shares, including, without limitation, any debt, preferred stock, right, option, warrant or other instrument that is at any time convertible into or exercisable or exchangeable for, or otherwise entitles the holder thereof to receive, Ordinary Shares.

  • Additional Shares of Common Stock means all shares of Common Stock issued (or, pursuant to Subsection 4.4.3 below, deemed to be issued) by the Corporation after the Series B Original Issue Date, other than (1) the following shares of Common Stock and (2) shares of Common Stock deemed issued pursuant to the following Options and Convertible Securities (clauses (1) and (2), collectively, “Exempted Securities”):

  • Option Exercise Period has the meaning set forth in Section 6.4.

  • Option Share has the meaning ascribed to it in section "4.7" hereinbelow;

  • Additional Shares shall have the meaning specified in Section 14.03(a).

  • Aggregate Exercise Price means, in connection with the exercise of this Warrant at any time, an amount equal to the product obtained by multiplying (i) the Exercise Price times (ii) the number of shares of Common Stock for which this Warrant is being exercised at such time.

  • Per Share Purchase Price equals $1.00, subject to adjustment for reverse and forward stock splits, stock dividends, stock combinations and other similar transactions of the Common Stock that occur after the date of this Agreement.

  • Option Exercise Notice has the meaning provided in Section 3.6 below.

  • Price Per Share shall have the meaning ascribed to such term in Section 2.1.

  • Capital Shares Equivalents means any securities, rights, or obligations that are convertible into or exchangeable for or give any right to subscribe for any Capital Shares of the Company or any warrants, options or other rights to subscribe for or purchase Capital Shares or any such convertible or exchangeable securities.

  • Initial Warrant Exercise Date means __________, 1997.

  • Purchase Option Price means the amount payable by a Lessee upon the exercise of its option to purchase a related 2023-1 Vehicle which amount equals (a) with respect to a Matured Vehicle, the Contract Residual Value plus any fees, taxes and other charges imposed in connection with such purchase and (b) with respect to a related 2023-1 Vehicle for which the related 2023-1 Lease has been terminated early by the Lessee, the sum of (i) any unpaid Monthly Payments due, (ii) any fees, taxes and other charges imposed in connection with the related 2023-1 Lease, (iii) an early termination fee and (iv) the Actuarial Payoff.

  • New Exercise Date means a new Exercise Date if the Administrator shortens any Offering Period then in progress.

  • Warrant Share Delivery Date shall have the meaning set forth in Section 2(d)(i).

  • Exercise Amount has the meaning set forth in Section 2(a).

  • SAR Exercise Price means the per share exercise price of a SAR granted to a Grantee under Section 9 hereof.
