Paying and Transfer Agent definition

Paying and Transfer Agent means the paying and transfer agent for the Notes appointed by us from time to time. The Paying and Transfer Agent will initially be RBC Dominion Securities Inc. whose address is P.O. Box 50, Royal Bank Plaza, 6th Floor, South Tower, Toronto, Ontario, Canada M5J 2W7; Attention: National Operations.

Paying and Transfer Agent means any paying and transfer agent with respect to the Notes and, if other than a Person who is also acting as the Trustee for the purpose of paying amounts due in respect of the Notes, appointed in accordance with Section 4.01(e).

Paying and Transfer Agent means, in relation to the Notes, Citibank N.A., London Branch, in its capacity as Paying and Transfer Agent (in respect of the Notes) and, in relation to any Further Notes, the Paying and Transfer Agent appointed in respect of such Further Notes and in each case any Successor Paying and Transfer Agent;

• If definitive certificates are made available in respect of Preferred Securities, they will be available from the Registrar and from any Paying and Transfer Agent, and will be posted to the relevant Holders at the address shown in the Register or, as applicable, in the relevant instrument of transfer within three Business Days in London of issue, by uninsured post at the risk of such Holders.

• Transfers of Preferred Securities if represented by definitive certificates may be effected by presentation of the relevant certificate (with the transfer certificate attached thereto duly completed on behalf of the transferor and transferee) at the specified office of the Registrar or any Paying and Transfer Agent.

Paying and Transfer Agent means each of the Principal Paying and Transfer Agent and Deutsche Bank Luxembourg S.A. and/or any other entity appointed as paying and transfer agent by the Issuer and notified to the Holders;
