Timely Notice definition

Timely Notice means a stockholder’s notice to the Secretary of the Corporation which must be delivered to or mailed and received at the principal executive offices of the Corporation not less than ninety (90) days nor more than one hundred twenty (120) days prior to the first anniversary of the preceding year’s annual meeting of stockholders; provided, however, that in the event that the date of the annual meeting is more than thirty (30) days before, or more than sixty (60) days after, such anniversary date, notice by the stockholder to be timely must be so delivered not earlier than the one hundred twentieth (120th) day prior to such annual meeting and not later than the ninetieth (90th) day prior to such annual meeting or, if later, the tenth (10th) day following the day on which the date that such annual meeting was Publicly Disclosed (as defined above).
Timely Notice means a shareholder’s notice to the Secretary of the Company not less than sixty (60) calendar days nor more than ninety (90) calendar days prior to the date of the annual meeting of shareholders that is Publicly Disclosed by the Company; provided, however, that in the event that less than seventy (70) calendar days’ notice or prior Public Disclosure of the date of the meeting is given to shareholders, notice by the shareholder to be timely must be so received not later than the close of business on the tenth (10th) calendar day following the earlier of (i) the day on which such notice of the date of the annual meeting was first mailed by the Company, or (ii) the day that such Public Disclosure of the date of the annual meeting was first made by the Company.

Timely Notice means that the stockholder’s notice is delivered to or mailed and received by the close of business at the principal executive offices of the Corporation (A) in the case of an annual meeting, not less than 75 days nor more than 105 days before the first anniversary of the date of the preceding year’s annual meeting as first specified in the Corporation’s notice of meeting (without regard to any postponements or adjournments of such meeting after such notice was first sent); provided, however, that in the event the date of the meeting is more than 30 days before or more than 60 days after such anniversary date, the stockholder’s notice must be so received not earlier than the close of business on the 105th day before such annual meeting and not later than the close of business on the later of (1) the 75th day before such annual meeting and (2) the 10th day following the day on which public disclosure of the date of the meeting is first made, (B) in the case of a special meeting, not earlier than the 105th day before such special meeting and not later than the close of business on the later of (1) the 75th day before the date of such special meeting and (2) if the first public disclosure of the date of such special meeting is less than 85 days before the date of such special meeting, the 10th day following the day on which public disclosure of the date of the meeting is first made, and (C) in the event that the number of directors to be elected to the Board of Directors of the Corporation is increased and there is no public announcement by the Corporation naming all of the nominees for director or specifying the size of the increased board of directors at least 75 days before the first anniversary of the date of the preceding year’s annual meeting as first specified in the Corporation’s notice of meeting (without regard to any postponements or adjournments of such meeting after such notice was first sent) (or, if the annual meeting is held more than 30 days before or 60 days after such anniversary date, at least 75 days prior to such annual meeting), a stockholder’s notice required by this Section 1.11 shall also be considered timely, but only with respect to nominees for any new positions created by such increase, if received not later than the close of business on the 10th day following the day on which such public announcement is first made by the Corporation; provided that, in no event shall any adjournment or postponement of an annual or special meeting...
