Total Outstanding Shares definition

Total Outstanding Shares means the aggregate number of shares of Company Capital Stock issued and outstanding immediately prior to the Effective Time.
Total Outstanding Shares means the aggregate number of shares of Company Common Stock outstanding immediately prior to the Effective Time plus the aggregate number of shares of Company Common Stock issuable, with or without the passage of time or satisfaction of other conditions, upon exercise or conversion of all convertible securities, options, warrants and other rights to acquire or receive shares of Company Capital Stock outstanding immediately prior to the Effective Time.
