02Definitions. The following terms have the meanings indicated when used in this Agreement with the initial letter capitalized:
02Definitions. For purposes of this Agreement:
(a) an “affiliate” of any person means another person that directly or indirectly, through one or more intermediaries, controls, is controlled by, or is under common control with, such first person;
(b) “material adverse change” or “material adverse effect” means, when used in connection with the Company or Pubco, any change or effect that either individually or in the aggregate with all other such changes or effects is materially adverse to the business, assets, properties, condition (financial or otherwise) or results of operations of such party and its subsidiaries taken as a whole (after giving effect in the case of Pubco to the consummation of the Exchange);

The Existing Loan Agreement and each other applicable Loan Document are each hereby amended and modified (to the extent applicable) to incorporate the definitions set forth in Section 1.01 of this Exhibit A, mutatis mutandis, to the extent used in any such Loan Document, including as a result of the effectiveness of this Agreement. If the Existing Loan Agreement or any other Loan Document as in effect immediately prior to giving effect to the provisions of this Agreement already defines any term defined in Section 1.01 of this Exhibit A, the definition in Section 1.01 of this Exhibit A shall supersede such definition in the Existing Loan Agreement or such Loan Document, if applicable.
02Definitions. For all purposes of this Supplemental Indenture, capitalized terms used and not otherwise defined herein shall have the meanings assigned thereto in the Indenture.

If the Existing Agreement or any other Existing Document as in effect immediately prior to giving effect to the provisions of the Second Amendment already defines any term defined in Section 1.01 of this Exhibit A, the definition in Section 1.01 of this Exhibit A shall supersede such definition in the Existing Agreement or such Existing Document, if applicable, for the purpose and solely for the purpose of the definitions and provisions contained in the Second Amendment. However, capitalized terms used but not defined in this Exhibit A shall have the meanings ascribed to them in the Existing Agreement.
