2Agreement. Holder hereby (a) agrees that the Stock, and any other shares of capital stock or securities required by the Agreement to be bound thereby, shall be bound by and subject to the terms of the Agreement and (b) adopts the Agreement with the same force and effect as if Holder were originally a party thereto.
2Agreement. This Agreement has been duly authorized, executed and delivered by the Company, and, assuming due authorization, execution and delivery by the other parties hereto, constitutes the legal, valid and binding obligations of the Company, enforceable against the Company in accordance with its terms, except as enforcement thereof may be limited by bankruptcy, insolvency, reorganization, moratorium or other similar laws relating to or affecting creditors’ rights generally or by general equitable principles.
2Agreement. Holder hereby (a) agrees that the Shares and the Units (and any other shares of the Corporation or units of interest in the LLC issuable upon conversion thereof) as required by the Investment Agreement to be bound thereby, shall be bound by and subject to, and hereby accepts, adopts and agrees to be bound by, all of the terms of Section 7 and Section 9 of the Agreement as if Holder were originally a party to the Agreement solely for purposes of such Sections.
2Agreement. The Development Agreement entered into on May 24, 2016 by and between Napa County, a political subdivision of the State of California, and Caymus Vineyards, a California corporation.
