Common use of Abandoned Dividend or Distribution Clause in Contracts

Abandoned Dividend or Distribution. If the Company shall take a record of the holders of its Common Stock for the purpose of entitling them to receive a dividend or other distribution (which results in an adjustment to the Exercise Price under the terms of this Agreement) and shall, thereafter, and before such dividend or distribution is paid or delivered to shareholders entitled thereto, legally abandon its plan to pay or deliver such dividend or distribution, then any adjustment made to the Exercise Price by reason of the taking of such record shall be reversed, and any subsequent adjustment, based thereon, shall be recomputed.

If the Company Corporation shall take a record of the holders of its Common Stock for the purpose of entitling them to receive a dividend or other distribution (which results in an adjustment to the Exercise Price Warrant Quantity under the terms of this AgreementWarrant) and shall, thereafter, and before such dividend or distribution is paid or delivered to shareholders stockholders entitled thereto, legally abandon its plan to pay or deliver such dividend or distribution, then any adjustment made to the Exercise Price Warrant Quantity by reason of the taking of such record shall be reversed, and any subsequent adjustmentadjustments, based thereon, shall be recomputed.
