Above Maximum Clause Samples
The "Above Maximum" clause sets a cap on certain obligations, liabilities, or payments, specifying that any amounts exceeding a defined maximum are not required or enforceable under the agreement. In practice, this clause might apply to limits on damages, service credits, or financial commitments, ensuring that a party is not responsible for amounts above the agreed threshold. Its core function is to allocate risk and provide financial certainty by preventing unlimited exposure for one or both parties.
Above Maximum. If the Company’s actual performance for the Performance Period is at or above maximum for a Performance Requirement, the number of Earned Shares is equal to the product of: (i) the Number of Shares subject to the Award; and (ii) the Payout Percentage set forth in the Participant’s Award Certificate at maximum, rounded down to a whole number.
Above Maximum. The employee shall receive 2.75% as a one-time payment in the form of a stipend subject to federal and state taxes for FY22 and FY23, annualized each year. Such payment shall be made August 15th of each year. Employees who are approved for the Voluntary Early Retirement Program will have their stipend prorated based upon their retirement date.
