Absence of Certain Business Practices. Neither the Company nor any of its Affiliates, directors, officers, employees or agents has, directly or indirectly, given or agreed to give any gift or similar benefit to any competitor or governmental employee or official (domestic or foreign) which could reasonably be expected to subject the Company to any damage or penalty in any civil, criminal or governmental litigation or proceeding.

Neither the Company Companies nor any of its Affiliates, directors, officers, employees or agents their Representatives has, directly or indirectly, given or agreed to give any gift or similar benefit to any competitor customer, supplier, employee of any Governmental Authority or governmental employee or official (domestic or foreign) which any other Person that could reasonably be expected to subject the Company Business, Purchased Assets or Assumed Liabilities to any damage or material penalty in any civil, criminal or governmental litigation or proceeding.

Neither the Company nor any of its Affiliates, directors, officers, employees or agents Subsidiaries has, directly or indirectlyindirectly within the past five years, given or agreed to give any gift or similar benefit to any competitor or governmental customer, supplier, government employee or official other person who is or may be in a position to help or hinder the business of Company or any of its Subsidiaries (domestic or foreignto assist Company or any of its Subsidiaries with any actual or proposed transaction) which could reasonably be expected to might subject the Company or any of its Subsidiaries to any damage or penalty in any civil, criminal or governmental litigation or proceeding.
