Absence of Certain Changes or Events; Right to Use Intellectual Property. Since October 31, 1999, Parent has conducted its business only in the ordinary and usual course and in a manner consistent with past practice and, since such date, there has not occurred any event, development or change which, individually or in the aggregate, has resulted in or is reasonably likely to result in a Material Adverse Effect. Except as disclosed in the Parent SEC Documents, Parent or its subsidiaries owns or possesses the adequate right to use all intellectual property used in the conduct of its business as presently conducted, except for rights which, if not so owned or so possessed, would not, individually or in the aggregate, have a Material Adverse Effect.
