No temporary restraining order, preliminary or permanent injunction or other order issued by a court or other governmental entity of competent jurisdiction (each, an “Order”) or law shall be in effect and have the effect of making the Merger illegal or otherwise prohibiting consummation of the Merger; provided, however, that each of the parties shall have used all reasonable efforts to prevent the entry of an such Order that may be entered.
