Absence of Orders. No preliminary or permanent injunction or other order of any Governmental Authority to prevent the consummation of the transactions contemplated in this Agreement shall be in effect or pending and no statute, rule or regulation shall have been enacted by any Governmental Authority that makes consummation of such transactions illegal.
