TERMINATION OF ORDERS. Participating Entities may terminate an order, in whole or in part, immediately upon notice to Supplier in the event of any of the following events:
1. The Participating Entity fails to receive funding or appropriation from its governing body at levels sufficient to pay for the equipment, products, or services to be purchased; or
2. Federal, state, or provincial laws or regulations prohibit the purchase or change the Participating Entity’s requirements.
TERMINATION OF ORDERS. All Orders issued under this Agreement shall terminate immediately on termination of this Agreement in accordance with this section 10, unless agreed otherwise.

a. The Member fails to receive funding or appropriation from its governing body at levels sufficient to pay for the equipment, product, or service to be purchased
b. Federal, state, or provincial laws or regulations prohibit the purchase or change the Members requirements
TERMINATION OF ORDERS. Participating Entities may terminate an order, in whole or in part, immediately upon notice to Vendor in the event of any of the following events:
1. The Participating Entity fails to receive funding or appropriation from its governing body at levels sufficient to pay for the goods to be purchased;
2. Federal or state laws or regulations prohibit the purchase or change the Participating Entity’s requirements; or
3. Vendor commits any material breach of this Contract or the additional terms agreed to between the Vendor and a Participating Entity, after receipt of notice from Sourcewell or the Participating Entity, and fails to correct such breach within thirty days. In the event of termination under this subsection 6. D., the Participating Entity will remain liable for contract amounts due and attributable to Equipment, Products, and Services delivered or performed on or before the date of the termination.
TERMINATION OF ORDERS. Upon termination of any order, Seller will be compensated as follows:
(a) Any work that can be completed within thirty (30) days from notification of termination will be completed and shipped by Seller and be paid for in full by Customer.
(b) For work in process and any materials and supplies procured or for which commitments have been made, Customer will pay Seller its actual costs and overhead expenses determined in accordance with generally accepted accounting practice, plus twenty-five percent (25%).
(c) For all special tooling or other Products for which commitments have been made by Seller in connection with the order, Customer will pay Seller the full price and cost of such Products and such Products will be provided to Customer.
(d) No Products may be returned to Seller without prior written permission from Seller. Upon approved return, Customer shall pay shipping charges and a restocking charge of twenty-five percent (25%) of the Product’s list price as of the date of restocking, and Customer shall bear the risk of loss or damage in transit.

1. The Participating Entity fails to receive funding or appropriation from its governing body at levels sufficient to pay for the goods to be purchased;
2. Federal, state, or provincial laws or regulations prohibit the purchase or change the Participating Entity’s requirements; or
3. Vendor commits any material breach of this Contract or the additional terms agreed to between the Vendor and a Participating Entity, and such breach continues for a period of 30 days following receipt of written notice to cure.
TERMINATION OF ORDERS. Participating Entities and Participating Dealers may enter into a mutual agreement regarding the circumstances under which an order may be terminated.
TERMINATION OF ORDERS. SWCO, prior to delivery, may terminate any Order, or portion thereof, except for the Initial Order. In the event SWCO terminates an Order or portion thereof, the following table will determine termination charges for undelivered Product. No termination charge shall apply to Software not delivered or Related Services not performed. Time of Cancellation Prior to Maximum Termination Charge Requested Delivery Date (% of Price) [***] Before Supplier applies these cancellation charges it will take into consideration Supplier's ability to recommit such Product toward the fulfillment of order(s) from other customers; and Supplier agrees to use every reasonable effort to recommit such equipment.
