Accelerated Vesting of Awards. In the event of a “change in control” (as such term is defined in the Plan), the vesting of any options, restricted shares or other awards granted to the Executive under the terms of the Plan shall be accelerated (to the extent permitted by the terms of the Plan) and such awards shall become immediately vested in full and, in the case of stock options, exercisable in full.
