Acceptance by Administrative Agent; Recordation in Register. Upon its receipt of an Assignment Agreement executed by an assigning Lender and an assignee representing that it is an Eligible Assignee, together with (x) the processing and recordation fee referred to in subsection 10.1B(i), (y) an Administrative Questionnaire, substantially in the form of Exhibit VIII annexed hereto, completed in respect of the Eligible Assignee (unless the Eligible Assignee shall already be a Lender hereunder) and (z) any forms, certificates or other evidence with respect to United States federal income tax withholding matters that such assignee may be required to deliver to Administrative Agent pursuant to subsection 2.7B(iii)(a), Administrative Agent shall, if Administrative Agent, each Issuing Lender and Company have consented to the assignment evidenced thereby (in each case to the extent such consent is required pursuant to subsection 10.1B(i)), (a) accept such Assignment Agreement by executing a counterpart thereof as provided therein (which acceptance shall evidence any required consent of Administrative Agent to such assignment) and (b) promptly record the information contained therein in the Register. The Register shall be available for inspection by Company and any Lender at any reasonable time and from time to time upon reasonable prior notice. Administrative Agent shall maintain a copy of each Assignment Agreement delivered to and accepted by it as provided in this subsection 10.1B(ii).

The Register shall be available for inspection by Company , and any Lender at any reasonable time (c) give prompt notice thereof to Company, Borrowers and from time to time upon reasonable prior noticethe Applicable Administrative Agent. Administrative Agent shall maintain a copy of each Assignment Agreement and Acceptance delivered to and accepted by it as provided in this subsection 10.1B(ii).

Upon its receipt of an Assignment Agreement executed by an assigning Lender and an assignee representing that it is an Eligible Assignee that is an Affiliate of the assigning Lender or other Eligible Assignee, together with (x) the processing and recordation fee referred to in subsection 10.1B(i), 13.1B(i) (y) an Administrative Questionnaire, substantially except in the form case of Exhibit VIII annexed heretoa Canadian/U.S. Funding Assignment, completed any assignment described in respect clause (a) of the Eligible Assignee (unless the Eligible Assignee shall already be a Lender hereundersubsection 13.1B(i) or any assignment undertaken pursuant to subsection 5.3) and (zy) any forms, certificates or other evidence with respect to United States federal income tax withholding matters that such assignee may be required to deliver to Administrative Agent pursuant to subsection 2.7B(iii)(a5.1B(iii)(a), Administrative Agent shall, if Administrative Agentsuch Assignment Agreement has been completed and is in substantially the form of Exhibit VIII hereto and if Co-Arrangers and, each Issuing Lender so long as no Event of Default under subsection 10.1, 10.6 or 10.7 has occurred and is continuing, Company have consented to the assignment evidenced thereby (in each case to the extent such consent is required pursuant to subsection 10.1B(i13.1B(i)), (a) accept such Assignment Agreement by executing a counterpart thereof as provided therein (which acceptance shall evidence any required consent of Administrative Agent to such assignment) and ), (b) promptly record the information contained therein in the Register. The Register shall be available for inspection by Company , and any Lender at any reasonable time and from time (c) give prompt notice thereof to time upon reasonable prior noticeCompany. Upon its receipt of an Assignment Agreement executed by an assigning Lender and an assignee representing that it is an Eligible Assignee, together with (x) the processing and recordation fee referred to in subsection 10.1B(i), 13.1B(i) (y) an Administrative Questionnaire, substantially except in the form case of Exhibit VIII annexed heretoa Canadian/U.S. Funding Assignment, completed in respect any assignment to an Affiliate or an Approved Fund of the Eligible Assignee (unless the Eligible Assignee shall already be a Lender hereunderassignor or any assignment undertaken pursuant to subsection 5.3) and (z) any forms, certificates or other evidence with respect to United States federal income tax withholding Tax matters that such assignee may be required to deliver to Administrative Agent pursuant to subsection 2.7B(iii)(a)5.1B, Administrative Agent shall, if Administrative Agent, each Joint Lead Arranger, each Issuing Lender, each Swing Line Lender and Company have consented to the assignment evidenced thereby (in each case to the extent such consent is required pursuant to subsection 10.1B(i13.1B(i)), (a) accept such Assignment Agreement by executing a counterpart thereof as provided therein (which acceptance shall evidence any required consent of Administrative Agent to such assignment) and ), (b) promptly record the information contained therein in the Register. The Register shall be available for inspection by Company , and any Lender at any reasonable time and from time (c) give prompt notice thereof to time upon reasonable prior noticeCompany. The Register shall be available for inspection by Company , and any (c) give prompt notice thereof to Company, the assigning Lender at any reasonable time and from time to time upon reasonable prior noticethe assignee. Upon its receipt of an Assignment Agreement executed 152 by an assigning Lender and an assignee representing that it is an Eligible Assignee, together with (x) the processing and recordation fee referred to in subsection 10.1B(i), (y) an Administrative Questionnaire, substantially in the form of Exhibit VIII annexed hereto, completed in respect of the Eligible Assignee (unless the Eligible Assignee shall already be a Lender hereunder) and (z) any forms, certificates or other evidence with respect to United States federal income any withholding tax withholding matters that such assignee may be required to deliver to Administrative Agent or the appropriate persons, as the case may be, pursuant to subsection 2.7B(iii)(a2.7B(iii) (as fully set forth in ANNEX A), Administrative Agent shall, if Administrative Agent, each Issuing Lender Agent and Company have consented to the assignment evidenced thereby (in each case to the extent such consent is required pursuant to subsection 10.1B(i)), (a) accept such Assignment Agreement by executing a counterpart thereof as provided therein (which acceptance shall evidence any required consent of Administrative Agent to such assignment) and ), (b) promptly record the information contained therein in the Register. The Register shall be available for inspection by Company , and any Lender at any reasonable time and from time (c) give prompt notice thereof to time upon reasonable prior noticeCompany. Administrative Agent shall maintain a copy of each Assignment Agreement delivered to and accepted by it as provided in this subsection 10.1B(ii).

Upon Subject to the requirements of subsection 10.2B(i) with respect to assignments of Offshore Revolving Loan Commitments, upon its receipt of an Assignment Agreement and Acceptance executed by an assigning Lender and an assignee representing that it is an Eligible Assignee, together with (x) the processing and recordation fee referred to in subsection 10.1B(i), (y) an Administrative Questionnaire, substantially in the form of Exhibit VIII annexed hereto, completed in respect of the Eligible Assignee (unless the Eligible Assignee shall already be a Lender hereunder10.2B(i) and (z) any formscertificates, certificates documents or other evidence with respect to United States federal income tax withholding and foreign tax withholding matters that such assignee may be required to deliver to Administrative Agent pursuant to subsection 2.7B(iii)(a2.7C(iv), Administrative Agent shall, if such Assignment and Acceptance has been completed and is in substantially the form of Exhibit X hereto and if Administrative Agent, each Issuing Lender Agent and Company have consented to the assignment evidenced thereby (in each case to the extent such consent is required pursuant to subsection 10.1B(i10.2B(i)), (a) accept such Assignment Agreement and Acceptance by executing a counterpart thereof as provided therein 202 (which acceptance shall evidence any required consent of Administrative Agent to such assignment) and ), (b) promptly record the information contained therein in the Register. The Register shall be available for inspection by Company , and any Lender at any reasonable time and from time (c) give prompt notice thereof to time upon reasonable prior noticeCompany. Administrative Agent shall maintain a copy of each Assignment Agreement and Acceptance delivered to and accepted by it as provided in this subsection 10.1B(ii10.2B(ii).
