Common use of Acceptance of Assignment and Assumption of Obligations Clause in Contracts

Acceptance of Assignment and Assumption of Obligations. Assignee hereby accepts the assignment of the Contracts and Warranties and, for the benefit of Assignor, assumes and agrees faithfully to perform all of the obligations which are required to be performed by Assignor under the Contracts and Warranties.

Acceptance of Assignment and Assumption of Obligations. Subject to the terms and conditions of this Agreement, Assignee hereby accepts the assignment of the Contracts hereunder, expressly agrees to be bound fully by all provisions of, and Warranties and, for the benefit of Assignor, expressly assumes and agrees faithfully to perform and discharge all duties, debts, liabilities and all obligations of the obligations which are required Assignor with respect to be performed by Assignor under the Contracts Assignor's Rights and WarrantiesPowers.
