Common use of Acceptance of Deposit Clause in Contracts

Acceptance of Deposit. At completion of the deposit inspection, if Escrow --------------------- Agent determines that the labeling of the tangible media matches the item descriptions and quantity on Exhibit B, Escrow Agent will date and sign the Exhibit B and mail a copy thereof to Depositor and Preferred Beneficiary. If Escrow Agent determines that the labeling does not match the item descriptions or quantity on the Exhibit B, Escrow Agent will (a) note the discrepancies in writing on the Exhibit B; (b) date and sign the Exhibit B with the exceptions noted; and (c) mail a copy of the Exhibit B to Depositor and Preferred Beneficiary. Escrow Agent's acceptance of the deposit occurs upon the signing of the Exhibit B by Escrow Agent. Delivery of the signed Exhibit B to Preferred Beneficiary is Preferred Beneficiary's notice that the Deposit Materials have been received and accepted by Escrow Agent. If Escrow Agent notes a discrepancy, Depositor shall promptly act to correct such discrepancy and have Escrow Agent issue a revised Exhibit B which contains no exceptions.

If DSI determines upon completion of the deposit inspection, if Escrow --------------------- Agent determines inspection that the labeling of the tangible media matches the item descriptions and quantity on Exhibit B, Escrow Agent then DSI will date and sign the Exhibit B and mail a copy thereof to Depositor and Preferred Beneficiary. If Escrow Agent DSI determines that the labeling does not match the item descriptions or quantity on the Exhibit B, Escrow Agent will DSI will: (a) note the discrepancies in writing on the Exhibit B; (b) date and sign the Exhibit B with the exceptions noted; and (c) mail a copy of the Exhibit B to Depositor and Preferred Beneficiary, as so annotated. Escrow Agent's DSI’s acceptance of the deposit occurs upon the signing of the Exhibit B by Escrow AgentDSI. Delivery of the signed Exhibit B to Preferred Beneficiary is Preferred Beneficiary's ’s notice that the Deposit Materials have been received and accepted by Escrow AgentDSI. If Escrow Agent notes a discrepancyOther than DSI’s inspection of the Deposit Materials, DSI shall have no obligation to verify the accuracy, completeness, functionality, performance or non-performance of the Deposit Materials. No acceptance by DSI of delivery of any Deposit Materials under this Section 1.3 shall relieve Depositor shall promptly act of its obligation under this Agreement to correct such discrepancy and have Escrow Agent issue a revised Exhibit B which contains no exceptionsfully tender to DSI the Deposit Materials.
