Common use of Acceptance of Drawings and Specifications Clause in Contracts

Acceptance of Drawings and Specifications. (a) All descriptive and forward specifications, drawings and other particulars submitted with any tender by Seller are approximate only and the descriptions and illustrations contained in Seller’s catalogue, price list and other advertising matter are intended merely to present a general idea of the goods described therein and none of these shall form part of the Contract. (b) All drawings, specifications, technical documentation, samples and prototypes are approved and/or accepted by Buyer if Buyer does not provide Seller a written objection and/or rejection within 10 days of receipt or other reasonable time established in writing by Seller. Failure to provide written objection and/or rejection will constitute an irrevocable acceptance by Buyer of such drawings, specifications, technical documentation, samples and prototypes and irrevocable confirmation that the Products manufactured in conformity with such drawings, specifications, technical documentation, samples and prototypes (or differing only within normal industrial limits) will comply with the specification for the Products agreed in writing between the parties and will meet the requirements of quality specified in Section 13 except in respect of defects which are not capable of being revealed on reasonable inspection by Buyer. Any written objection and/or rejection must state with specificity all defects. (c) Where Products are supplied, Seller will, upon receipt of a written request from Buyer, supply instructions for the assembly of such Products. Seller shall have no liability for any failure by Buyer to assemble goods properly if Buyer has failed to request assembly instructions or, if having been supplied with such instructions, has failed to assemble the Products strictly in accordance with those instructions.

Acceptation de plans et de spécifications. (a) L’ensemble des spécifications, plans et autres détails descriptifs et prospectifs, soumis dans le cadre de toute offre par le Vendeur ne sont qu’indicatifs et les descriptifs et illustrations contenus dans le catalogue, les tarifs et autre matériel publicitaire du Vendeur sont simplement destinés à fournir une idée générale des biens qui y sont décrits et aucun d’entre eux ne fera partie du Contrat. (b) Tous les plans, spécifications, documents techniques, échantillons et prototypes sont approuvés et/ou acceptés par l’Acheteur si l’Acheteur ne fait pas part au Vendeur d’une objection et/ou rejet écrit dans xxx xxx (10) jours qui suivent la réception ou autre délai raisonnable établi par écrit par le Vendeur. L’absence de contestation et/ou de rejet écrit vaut acceptation irrévocable par l’Acheteur desdits plans, spécifications, documents techniques, échantillons et prototypes ainsi que confirmation irrévocable de ce que les Produits qui sont fabriqués conformément auxdits plans, spécifications, documents techniques, échantillons et prototypes (ou qui n’en diffèrent que dans les limites des tolérances industrielles normales) seront conformes aux spécifications des Produits dont les parties sont convenues par écrit et qu’ils rempliront les critères de qualité précisés à l’Article 13, à l’exception de défauts qui ne sauraient être détectés dans le cadre d’une inspection raisonnable par l’Acheteur. Toute contestation et/ou rejet écrit xxxxx indiquer très précisément tous les défauts. (c) Lorsque la livraison concerne des Produits, le Vendeur fournira, sur réception d’une requête écrite par l’Acheteur, les instructions d’assemblage desdits Produits. Aucune responsabilité n’incombera au Vendeur au cas où l’Acheteur n’assemblerait pas les biens correctement dès lors que l’Acheteur a négligé de solliciter des instructions d’assemblage ou, si xx xxxxxx instructions lui ont été remises, au cas où il n’a pas assemblé les Produits en respectant strictement lesdites instructions.
