Common use of Access to Certain Documentation and Information Regarding the Mortgage Loans; Inspections Clause in Contracts

Access to Certain Documentation and Information Regarding the Mortgage Loans; Inspections. (a) The Master Servicer and each Servicer shall afford the Depositor, the Trustee and the Trust Administrator reasonable access to all records and documentation regarding the Mortgage Loans and all accounts, insurance information and other matters relating to this Agreement, such access being afforded without charge, but only upon reasonable written request and during normal business hours at the office designated by the Master Servicer or such Servicer. In addition, each Servicer other than WMMSC shall afford the Master Servicer reasonable access to all records and documentation regarding the Mortgage Loans and all accounts, insurance information and other matters relating to this Agreement, such access being afforded without charge, but only upon reasonable written request and during normal business hours at the office designated by such Servicer. In addition, each Servicer shall provide to the Special Servicer reasonable access to all records and documentation regarding the Mortgage Loans serviced by it that become Special Serviced Mortgage Loans. (b) The Master Servicer and each Servicer, separately with respect to the Mortgage Loans each directly services, shall inspect the related Mortgaged Properties as often as deemed necessary by the Master Servicer or such Servicer in such party’s sole discretion, to assure itself that the value of such Mortgaged Property is being preserved. In addition, if any Mortgage Loan is more than 60 days delinquent, the Master Servicer or such Servicer, as applicable, shall conduct subsequent inspections in accordance with Accepted Servicing Practices or as may be required by the primary mortgage guaranty insurer. The Master Servicer and each Servicer shall keep a written or electronic report of each such inspection.

(a) The Master Each Servicer and each the Master Servicer shall afford the Depositor, Depositor and the Trustee and the Trust Administrator reasonable access to all records and documentation regarding the Mortgage Loans and all accounts, insurance information and other matters relating to this Agreement, such access being afforded without charge, but only upon reasonable written request and during normal business hours at the office designated by the related Servicer or the Master Servicer, as applicable. None of the Servicers or the Master Servicer shall be required to make copies of or such Servicer. In additionship documents to any party unless provisions have been made for the reimbursement of costs thereof. (b) Upon reasonable advance notice in writing for any review requiring on-site access or upon reasonable notice for any other type of access, each Servicer other than WMMSC shall afford and the Master Servicer will provide to each Certificateholder which is a savings and loan association, bank or insurance company certain reports and reasonable access to all records information and documentation regarding the Mortgage Loans and all accounts, insurance information and sufficient to permit such Certificateholder to comply with applicable regulations of the OTS or other matters relating regulatory authorities with respect to this Agreement, such access being afforded without charge, but only upon reasonable written request and during normal business hours at investment in the office designated by such Servicer. In addition, Certificates; provided that each Servicer shall provide be entitled to be reimbursed by each such Certificateholder for actual expenses incurred by each Servicer and the Special Master Servicer reasonable access to all records in providing such reports and documentation regarding the Mortgage Loans serviced by it that become Special Serviced Mortgage Loansaccess. (bc) The Master Each Servicer and each Servicer, separately with respect to the Mortgage Loans each directly services, shall inspect the related Mortgaged Properties related to Non-Designated Mortgage Loan as often as deemed necessary by the Master Servicer or such related Servicer in such partyServicer’s sole discretion, to assure itself that the value of such Mortgaged Property is being preserved. In addition, if any Mortgage Loan is more than 60 days delinquent, the Master Servicer or such Servicer, as applicable, preserved and shall conduct subsequent inspections in accordance with Accepted Servicing Practices or as may be required by the primary mortgage guaranty insurer. The Master Servicer and each related Servicer shall keep a written or electronic report of each such inspection.

In addition, each Servicer Servicer, other than WMMSC, shall provide to the Special Servicer reasonable access to all records and documentation regarding the Mortgage Loans serviced by it that become Special Serviced Mortgage Loans. (b) The Master Servicer and each Each Servicer, separately with respect to the Mortgage Loans each directly services, shall inspect the related Mortgaged Properties as often as deemed necessary by the Master Servicer or such Servicer in such party’s sole discretion, to assure itself that the value of such Mortgaged Property is being preserved. (b) The Master Upon reasonable advance notice in writing for any review requiring on-site access or upon reasonable notice for any other type of access, each Servicer will provide to each Certificateholder which is a savings and each Servicerloan association, separately bank or insurance company certain reports and reasonable access to information and documentation regarding the Mortgage Loans sufficient to permit such Certificateholder to comply with applicable regulations of the OTS or other regulatory authorities with respect to investment in the Mortgage Loans Certificates; provided that each directly services, Servicer shall be entitled to be reimbursed by each such Certificateholder for actual expenses incurred by each Servicer in providing such reports and access. (c) Each Servicer shall inspect the related Mortgaged Properties as often as deemed necessary by the Master Servicer or such related Servicer in such partyServicer’s sole discretion, to assure itself that the value of such Mortgaged Property is being preserved. In addition, if any Mortgage Loan is more than 60 days delinquent, the Master Servicer or such Servicer, as applicable, preserved and shall conduct subsequent inspections in accordance with Accepted Servicing Practices or as may be required by the primary mortgage guaranty insurer. In addition, each Servicer other than WMMSC shall afford the Master Servicer reasonable access to all records and documentation regarding the Mortgage Loans and all accounts, insurance information and other matters relating to this Agreement, such access being afforded without charge, but only upon reasonable written request and during normal business hours at the office designated by such related Servicer. In addition, each Servicer shall provide to the any Special Servicer reasonable access to all records and documentation regarding the Mortgage Loans serviced by it that become Special Serviced Mortgage Loans. None of the Servicers shall be required to make copies of or ship documents to any party unless provisions have been made for the reimbursement of costs thereof. (c) Each Servicer shall inspect the related Mortgaged Properties related to Mortgage Loans as often as deemed necessary by the Master Servicer or such related Servicer in such partyServicer’s sole discretion, to assure itself that the value of such Mortgaged Property is being preserved. In addition, if any Mortgage Loan is more than 60 days delinquent, the Master Servicer or such Servicer, as applicable, preserved and shall conduct subsequent inspections in accordance with Accepted Servicing Practices or as may be required by the primary mortgage guaranty insurer. The Master Servicer and each related Servicer shall keep a written or electronic report of each such inspection.

In addition, each Servicer shall provide to the Special Servicer reasonable access to all records and documentation regarding the Mortgage Loans serviced by it that become Special Serviced Mortgage Loans. (b) The Master Servicer and each Servicer, separately with respect to the Mortgage Loans each directly services, shall inspect the related Mortgaged Properties as often as deemed necessary by the Master Servicer or such Servicer in such party’s 's sole discretion, to assure itself that the value of such Mortgaged Property is being preserved. In addition, each Servicer shall provide to the Special Servicer reasonable access to all records and documentation regarding the Mortgage Loans serviced by it that become Special Serviced Mortgage Loans. Each Servicer may, from time to time, provide the Depositor, and any Person designated by the Depositor, with reports and information regarding the Mortgage Loans, including without limitation, information requested by the Depositor or an originator of the Mortgage Loans for required institutional risk control. (b) The Master Each Servicer and each Servicer, separately with respect to the Mortgage Loans each directly services, shall inspect the related Mortgaged Properties as often as deemed necessary by the Master Servicer or such Servicer in such party’s Servicer's sole discretion, to assure itself that the value of such Mortgaged Property is being preserved. In addition, if any Mortgage Loan is more than 60 days delinquent, the Master each Servicer or such Servicer, as applicable, shall conduct subsequent inspections in accordance with Accepted Servicing Practices or as may be required by the primary mortgage guaranty insurer. The Master Servicer and each Each Servicer shall keep a written or electronic report of each such inspection.

Payments on the Mortgage Loans, including any Payoffs, made in accordance with the related Mortgage File will be entered into the related Servicer's set of records no more than two Business Days after receipt, and allocated to principal or interest as specified in the related Mortgage File. In addition, each Servicer shall provide to the Special Servicer reasonable access to all records and documentation regarding the Mortgage Loans serviced by it that become Special Serviced Mortgage Loans. Each Servicer may, from time to time, provide the Depositor, and any Person designated by the Depositor, with reports and information regarding the Mortgage Loans, including without limitation, information requested by the Depositor or an originator of the Mortgage Loans for required institutional risk control. (b) The Master Each Servicer and each Servicer, separately with respect to the Mortgage Loans each directly services, shall inspect the related Mortgaged Properties as often as deemed necessary by the Master Servicer or such Servicer in such party’s Servicer's sole discretion, to assure itself that the value of such Mortgaged Property is being preserved. In addition, each Servicer other than WMMSC shall afford the Master Servicer reasonable access to all records and documentation regarding the Mortgage Loans and all accounts, insurance information and other matters relating to this Agreement, such access being afforded without charge, but only upon reasonable written request and during normal business hours at the office designated by such Servicer. In addition, each Servicer servicer shall provide to the Special Servicer Calmco reasonable access to all records and documentation regarding the Mortgage Loans serviced by it that become Special Serviced Mortgage Loans. (b) The Master Servicer Upon reasonable advance notice in writing, the servicer will provide to each Certificateholder which is a savings and each Servicerloan association, separately bank or insurance company certain reports and reasonable access to information and documentation regarding the Mortgage Loans sufficient to permit such Certificateholder to comply with applicable regulations of the OTS or other regulatory authorities with respect to investment in the Mortgage Loans Certificates; provided that the Servicer shall be entitled to be reimbursed by each directly services, such Certificateholder for actual expenses incurred by the Servicer in providing such reports and access. (c) The Servicer shall inspect the related Mortgaged Properties as often as deemed necessary by the Master Servicer or such Servicer in such party’s the Servicer's sole discretion, to assure itself that the value of such Mortgaged Property is being preserved. In addition, if any Mortgage Loan is more than 60 days delinquent, the Master Servicer or such Servicer, as applicable, shall immediately inspect the related Mortgaged Property and shall conduct subsequent inspections in accordance with Accepted Servicing Practices or as may be required by the primary mortgage guaranty insurer. The Master Servicer and each Servicer shall keep a written or electronic report of each such inspection.

In addition, if any Mortgage Loan is more than 60 90 days delinquent, the Master Servicer or such Servicer, as applicable, shall conduct subsequent inspections in accordance with Accepted Servicing Practices or as may be required by the primary mortgage guaranty insurerand obtain a broker price opinion, with respect to such Mortgaged Property. The Master Servicer and each related Servicer shall keep a written or electronic report of each such inspection.

In addition, each Servicer Servicer, other than WMMSC, shall provide to the Special Servicer reasonable access to all records and documentation regarding the Mortgage Loans serviced by it that become Special Serviced Mortgage Loans. (b) The Master Servicer and each Servicer, separately with respect to the Mortgage Loans each directly services, shall inspect the related Mortgaged Properties as often as deemed necessary by the Master Servicer or such Servicer in such party’s sole discretion, to assure itself that the value of such Mortgaged Property is being preserved. In addition, if any Mortgage Loan is more than 60 days delinquent, the Master Servicer or such Servicer, as applicable, shall conduct subsequent inspections in accordance with Accepted Servicing Practices or as may be required by the primary mortgage guaranty insurer. The Master Servicer and each Servicer shall keep a written or electronic report of each such inspection.

Access to Certain Documentation and Information Regarding the Mortgage Loans; Inspections. In addition, each Servicer shall provide to the Special Servicer Calmco reasonable access to all records and documentation regarding the Mortgage Loans serviced by it that become Special Serviced Mortgage Loans. (b) The Master Upon reasonable advance notice in writing, each Servicer will provide to each Certificateholder which is a savings and each Servicerloan association, separately bank or insurance company certain reports and reasonable access to information and documentation regarding the Mortgage Loans sufficient to permit such Certificateholder to comply with applicable regulations of the OTS or other regulatory authorities with respect to investment in the Mortgage Loans Certificates; provided that such Servicer shall be entitled to be reimbursed by each directly services, such Certificateholder for actual expenses incurred by such Servicer in providing such reports and access. (c) Each Servicer shall inspect the related Mortgaged Properties as often as deemed necessary by the Master Servicer or such Servicer in such party’s Servicer's sole discretion, to assure itself that the value of such Mortgaged Property is being preserved. In addition, if any Mortgage Loan is more than 60 days delinquent, the Master applicable Servicer or such Servicer, as applicable, shall immediately inspect the related Mortgaged Property and shall conduct subsequent inspections in accordance with Accepted Servicing Practices or as may be required by the primary mortgage guaranty insurer. The Master Servicer and each Each Servicer shall keep a written or electronic report of each such inspection.

In addition, each Servicer other than WMMSC shall afford the related Master Servicer reasonable access to all records and documentation regarding the related Mortgage Loans and all accounts, insurance information and other matters relating to this Agreement, such access being afforded without charge, but only upon reasonable written request and during normal business hours at the office designated by such Servicer. In addition, each Servicer Servicer, other than WMMSC, shall provide to the Special Servicer reasonable access to all records and documentation regarding the Mortgage Loans serviced by it that become Special Serviced Mortgage Loans. (b) The Master Servicer and each Each Servicer, separately with respect to the Mortgage Loans each directly services, shall inspect the related Mortgaged Properties as often as deemed necessary by the Master Servicer or such Servicer in such party’s sole discretion, to assure itself that the value of such Mortgaged Property is being preserved. In addition, if any Mortgage Loan is more than 60 days delinquent, the Master Servicer or such Servicer, as applicable, shall conduct subsequent inspections in accordance with Accepted Servicing Practices or as may be required by the primary mortgage guaranty insurer. In addition, each None of the Servicer other than WMMSC shall afford or the Master Servicer shall be required to make copies of or ship documents to any party unless provisions have been made for the reimbursement of costs thereof. (b) Upon reasonable advance notice in writing for any review requiring on-site access or upon reasonable notice for any other type of access, the Servicer and the Master Servicer will provide to each Certificateholder which is a savings and loan association, bank or insurance company certain reports and reasonable access to all records information and documentation regarding the Mortgage Loans and all accounts, insurance information and sufficient to permit such Certificateholder to comply with applicable regulations of the OTS or other matters relating regulatory authorities with respect to this Agreement, such access being afforded without charge, but only upon reasonable written request and during normal business hours at investment in the office designated by such Servicer. In addition, each Certificates; provided that the Servicer shall provide be entitled to be reimbursed by each such Certificateholder for actual expenses incurred by the Special Servicer reasonable access to all records and documentation regarding the Mortgage Loans serviced by it that become Special Serviced Mortgage LoansMaster Servicer in providing such reports and access. (bc) The Master Servicer and each Servicer, separately with respect to the Mortgage Loans each directly services, shall inspect the related Mortgaged Properties related to Non-Designated Mortgage Loans as often as deemed necessary by the Master Servicer or such Servicer in such partythe Servicer’s sole discretion, to assure itself that the value of such Mortgaged Property is being preserved. In addition, if any Mortgage Loan is more than 60 days delinquent, the Master Servicer or such Servicer, as applicable, preserved and shall conduct subsequent inspections in accordance with Accepted Servicing Practices or as may be required by the primary mortgage guaranty insurer. The Master Servicer and each Servicer shall keep a written or electronic report of each such inspection.

None of any of the Servicers or the Master Servicer shall be required to make copies of or such Servicer. In additionship documents to any party unless provisions have been made for the reimbursement of costs thereof. (b) Upon reasonable advance notice in writing for any review requiring on-site access or upon reasonable notice for any other type of access, each Servicer other than WMMSC shall afford and the Master Servicer will provide to each Certificateholder which is a savings and loan association, bank or insurance company certain reports and reasonable access to all records information and documentation regarding the Mortgage Loans and all accounts, insurance information and sufficient to permit such Certificateholder to comply with applicable regulations of the OTS or other matters relating regulatory authorities with respect to this Agreement, such access being afforded without charge, but only upon reasonable written request and during normal business hours at investment in the office designated by such Servicer. In addition, Certificates; provided that each Servicer and the Master Servicer shall provide be entitled to be reimbursed by each such Certificateholder for actual expenses incurred by each Servicer and the Special Master Servicer reasonable access to all records in providing such reports and documentation regarding the Mortgage Loans serviced by it that become Special Serviced Mortgage Loansaccess. (bc) The Master Each Servicer and each Servicer, separately with respect to the Mortgage Loans each directly services, shall inspect the related Mortgaged Properties related to Non-Designated Mortgage Loans as often as deemed necessary by the Master Servicer or such related Servicer in such partyServicer’s sole discretion, to assure itself that the value of such Mortgaged Property is being preserved. In addition, if any Mortgage Loan is more than 60 days delinquent, the Master Servicer or such Servicer, as applicable, preserved and shall conduct subsequent inspections in accordance with Accepted Servicing Practices or as may be required by the primary mortgage guaranty insurer. The Master Servicer and each related Servicer shall keep a written or electronic report of each such inspection.

In addition, each Servicer other than WMMSC shall afford the Master Servicer reasonable access to all records and documentation regarding the Mortgage Loans and all accounts, insurance information and other matters relating to this Agreement, such access being afforded without charge, but only upon reasonable written request and during normal business hours at the office designated by such Servicer. In addition, each Servicer shall provide to the Special Servicer reasonable access to all records and documentation regarding the Mortgage Loans serviced by it that become Special Serviced Mortgage Loans. Each Servicer may, from time to time, provide the Depositor, and any Person designated by the Depositor, with reports and information regarding the Mortgage Loans, including without limitation, information requested by the Depositor or an originator of the Mortgage Loans for required institutional risk control. (b) The Master If, at the request of the Seller or the Depositor or otherwise in accordance with the terms of this Agreement, a Servicer and each enters into a special servicing advisory agreement with a Holder of any Class of Certificates, such Servicer, separately pursuant to the terms of any such agreement, may provide such Holder, in its capacity as special servicing advisor, with loan-level information with respect to the Mortgage Loans each directly services, Loans. (c) Each Servicer shall inspect the related Mortgaged Properties as often as deemed necessary by the Master Servicer or such Servicer in such partyServicer’s sole discretion, to assure itself that the value of such Mortgaged Property is being preserved. In addition, if any Mortgage Loan is more than 60 days delinquent, the Master each Servicer or such Servicer, as applicable, shall conduct subsequent inspections in accordance with Accepted Servicing Practices or as may be required by the primary mortgage guaranty insurer. The Master Servicer and each Each Servicer shall keep a written or electronic report of each such inspection.

In addition, each Servicer Servicer, other than WMMSC and Washington Mutual, shall provide to the Special Servicer reasonable access to all records and documentation regarding the Mortgage Loans serviced by it that become Special Serviced Mortgage Loans. (b) The Master Servicer and each Servicer, separately with respect to the Mortgage Loans each directly services, shall inspect the related Mortgaged Properties as often as deemed necessary by the Master Servicer or such Servicer in such party’s sole discretion, to assure itself that the value of such Mortgaged Property is being preserved. In addition, if any Mortgage Loan is more than 60 days delinquent, the Master Servicer or such Servicer, as applicable, shall conduct subsequent inspections in accordance with Accepted Servicing Practices or as may be required by the primary mortgage guaranty insurer. In addition, each Servicer Servicer, other than WMMSC and WMBFA, shall provide to the Special Servicer reasonable access to all records and documentation regarding the Mortgage Loans serviced by it that become Special Serviced Mortgage Loans. (b) The Master Servicer and each Servicer, separately with respect to the Mortgage Loans each directly services, shall inspect the related Mortgaged Properties as often as deemed necessary by the Master Servicer or such Servicer in such party’s sole discretion, to assure itself that the value of such Mortgaged Property is being preserved. In additionNeither Servicer shall be required to make copies of or ship documents to any party unless provisions have been made for the reimbursement of costs thereof. (b) Upon five days prior notice in writing for any review requiring on-site access or upon reasonable notice for any other type of access, each Servicer other than WMMSC shall afford the Master Servicer will provide to each Certificateholder which is a savings and loan association, bank or insurance company certain reports and reasonable access to all records information and documentation regarding the Mortgage Loans and all accounts, insurance information and sufficient to permit such Certificateholder to comply with applicable regulations of the OTS or other matters relating regulatory authorities with respect to this Agreement, such access being afforded without charge, but only upon reasonable written request and during normal business hours at investment in the office designated by such Servicer. In addition, Certificates; provided that each Servicer shall provide be entitled to the Special be reimbursed by each such Certificateholder for actual expenses incurred by each Servicer reasonable access to all records in providing such reports and documentation regarding the Mortgage Loans serviced by it that become Special Serviced Mortgage Loansaccess. (bc) The Master Each Servicer and each Servicer, separately with respect to the Mortgage Loans each directly services, shall inspect the related Mortgaged Properties as often as deemed necessary by the Master Servicer or such related Servicer in such partyServicer’s sole discretion, to assure itself that the value of such Mortgaged Property is being preserved. In addition, if any Mortgage Loan is more than 60 days delinquent, the Master Servicer or such Servicer, as applicable, preserved and shall conduct subsequent inspections in accordance with Accepted Servicing Practices or as may be required by the primary mortgage guaranty insurer. The Master Servicer and each related Servicer shall keep a written or electronic report of each such inspection.

Access to Certain Documentation and Information Regarding the Mortgage Loans; Inspections. (a) The Master Each Servicer and each the Master Servicer shall afford the Depositor, Depositor and the Trustee and the Trust Administrator reasonable access to all records and documentation regarding the Mortgage Loans and all accounts, insurance information and other matters relating to this Agreement, such access being afforded without charge, but only upon five Business Days prior notice for any review requiring on-site access or upon reasonable written request notice for any other type of access, and during normal business hours at the office designated by the related Servicer or the Master Servicer, as applicable.
