Common use of Access to Company’s Data Clause in Contracts

Access to Company’s Data. CyDex shall have the right to reference and utilize all toxicology/safety and other relevant scientific data developed on Captisol alone (and not in conjunction with a Licensed Product) by Company, its Sublicensees or Affiliates, at no cost to CyDex. Upon request by CyDex, Company shall either provide CyDex, at CyDex’s sole expense, with a copy of all such data or shall make such data accessible to CyDex at times and locations reasonably agreeable to CyDex and Company subject to the provisions of Section 8.

Access to Company’s Data. CyDex shall have the right to reference and utilize all toxicology/safety and other relevant scientific data developed on Captisol alone (and not in conjunction with a Licensed Productproduct formulation) by Company, its Sublicensees or AffiliatesAffiliates in connection with CyDex’s development and commercialization of Captisol or compounds, at no cost to CyDex. Upon request by CyDex, Company shall either provide CyDex, at CyDex’s sole expense, CyDex with a copy of all such data or shall make such data accessible to CyDex at such times and locations reasonably agreeable to CyDex and Company subject to mutually agreed upon by the provisions of Section 8parties.

CyDex shall have the right to reference and utilize all toxicology/safety and other relevant scientific data that exclusively relate to Captisol and are developed on Captisol alone (and not in conjunction with a Licensed Product) by Company, its Sublicensees or Affiliates, at no cost to CyDex. Upon request by CyDex, Company shall either provide CyDex, at CyDex’s sole expense, with a copy of all such data or shall make such data accessible to CyDex at times and locations reasonably agreeable to CyDex and Company subject to the provisions of Section 8Company.

Upon request by CyDex, Company shall either provide CyDex, at CyDex’s sole expense, CyDex with a copy of all such data or shall make such data accessible to CyDex at such times and locations reasonably agreeable to CyDex and Company subject to mutually agreed upon by the provisions of Section 8parties.
