Common use of Access to List of Holders Clause in Contracts

Access to List of Holders. (a) If the Trustee is not acting as Certificate Registrar, the Certificate Registrar will furnish or cause to be furnished to the Trustee and the NIMS Insurer, within fifteen days after receipt by the Certificate Registrar of a request by the Trustee or the NIMS Insurer in writing, a list, in such form as the Trustee may reasonably require, of the names and addresses of the Certificateholders of each Class as of the most recent Record Date. (b) If the NIMS Insurer or three or more Holders or Certificate Owners (hereinafter referred to as "Applicants") apply in writing to the Trustee, and such application states that the Applicants desire to communicate with other Holders with respect to their rights under this Agreement or under the Certificates and is accompanied by a copy of the communication which such Applicants propose to transmit, then the Trustee shall, within five Business Days after the receipt of such application, afford such Applicants reasonable access during the normal business hours of the Trustee to the most recent list of Certificateholders held by the Trustee or shall, as an alternative, send, at the Applicants' expense, the written communication proffered by the Applicants to all Certificateholders at their addresses as they appear in the Certificate Register.

(b) If the NIMS Insurer Depositor, the Operating Adviser, the Special Servicer, the Master Servicer, the Trustee or three or more Holders or Certificate Owners (hereinafter referred to as "Applicantsapplicants," with a single Person which (together with its Affiliates) is the Holder of more than one Class of Certificates being viewed as a single "applicant" for these purposes) apply in writing to the Trustee, Paying Agent and such application states that the Applicants applicants desire to communicate with other Holders with respect to their rights under this Agreement or under the Certificates and is accompanied by a copy of the communication which such Applicants applicants propose to transmit, then the Trustee Paying Agent shall, within five Business Days after the receipt of such application, afford such Applicants reasonable access during the normal business hours of the Trustee to the most recent list of Certificateholders held by the Trustee or shall, as an alternative, send, at the Applicants' such Person's expense, the written communication proffered by the Applicants applicants to all Certificateholders at their addresses as they appear in the Certificate Register.

(b) If the NIMS Insurer Depositor, the Operating Adviser, the Special Servicer, the Servicer, the Paying Agent, or three or more Holders or Certificate Owners (hereinafter referred to as "Applicantsapplicants," with a single Person which (together with its Affiliates) is the Holder of more than one Class of Certificates being viewed as a single "applicant" for these purposes) apply in writing to the Trustee, and such application states that the Applicants applicants desire to communicate with other Holders with respect to their rights under this Agreement or under the Certificates and is accompanied by a copy of the communication which such Applicants applicants propose to transmit, then the Trustee shall, within five six Business Days after the receipt of such application, afford such Applicants reasonable access during the normal business hours of the Trustee application (and subject to the most recent list of Certificateholders held by the Trustee or shallCertificate Registrar's compliance with its obligations under clause (a) above, as an alternativeif applicable), send, at the Applicants' such Person's expense, the written communication proffered by the Applicants applicants to all Certificateholders at their addresses as they appear in the Certificate Register.

(c) Every Holder, by receiving and holding a Certificate, agrees with the Depositor, the Certificate Registrar, the Paying Agent, the Master Servicer and the Trustee that neither the Depositor, the Certificate Registrar, the Paying Agent, the Master Servicer nor the Trustee shall be held accountable by reason of the disclosure of any such information as to the names and addresses of the Certificateholders hereunder, regardless of the source from which such information was derived.
