Common use of Access to Properties, Books and Records Clause in Contracts

Access to Properties, Books and Records. Prior to the Closing Date, DDS and Shareholders shall, at GDSC's request, afford or cause to be afforded to the agents, attorneys, accountants and other authorized representatives of GDSC reasonable access during normal business hours to all employees, properties, books and records of DDS and shall permit such persons, at GDSC's expense, to make copies of such books and records. DDS shall deliver to GDSC monthly financial statements of DDS promptly after they become available. GDSC shall treat, and shall cause all of its agents, attorneys, accountants and other authorized representatives to treat, all information obtained pursuant to this Section 6.01 as confidential in accordance with Section 13.01 hereof. No investigation by GDSC or any of its authorized representatives pursuant to this Section 6.01 shall affect any representation, warranty or closing condition of any party hereto or GDSC's rights to indemnification pursuant to Section 12.02 hereof.

Prior to the Closing Date, DDS and Shareholders TG3 shall, at GDSCGD Sub's request, afford or cause to be afforded to the agents, attorneys, accountants and other authorized representatives of GDSC GD Sub reasonable access during normal business hours to all employees, properties, books and records of DDS TG3 and the Professional Corporation and shall permit such persons, at GDSCGD Sub's expense, to make copies of such books and records. DDS TG3 shall deliver to GDSC GD Sub monthly financial statements of DDS TG3 promptly after they become available. GDSC and GD Sub shall treat, and shall cause all of its their agents, attorneys, accountants and other authorized representatives to treat, all information obtained pursuant to this Section 6.01 4.01 as confidential in accordance with Section 13.01 10.01 hereof. No investigation by GDSC or GD Sub or any of its their authorized representatives pursuant to this Section 6.01 4.01 shall affect any representation, warranty or closing condition of any party hereto or GDSCGD Sub's rights to indemnification pursuant to Section 12.02 9.02 hereof.

GDSC shall treat, and shall cause all of its agents, attorneys, accountants and other authorized representatives to treat, all information obtained pursuant to this Section 6.01 5.01 as confidential in accordance with Section 13.01 12.01 hereof. No investigation by GDSC or any of its authorized representatives pursuant to this Section 6.01 5.01 shall affect any representation, warranty or closing condition of any party hereto or GDSC's rights to indemnification pursuant to Section 12.02 11.02 hereof.

DDS Seller shall deliver to GDSC monthly financial statements of DDS the Dental Practice promptly after they become available. GDSC shall treat, and shall cause all of its agents, attorneys, accountants and other authorized representatives to treat, all information obtained pursuant to this Section 6.01 5.01 as confidential in accordance with Section 13.01 12.01 hereof. No investigation by GDSC or any of its authorized representatives pursuant to this Section 6.01 5.01 shall affect any representation, warranty or closing condition of any party hereto or GDSC's rights to indemnification pursuant to Section 12.02 11.02 hereof.
