Access to Records and Properties of Seller. From and after the Execution Date until the Closing Date, Seller shall, upon reasonable advance notice, afford to Buyer’s officers, independent public accountants, counsel, lenders, consultants and other representatives reasonable access during normal business hours to the Assets but not to the Other Business and all records pertaining to the Assets but not the Other Business. Buyer expressly acknowledges that nothing in this Section 8.1 is intended to give rise to any contingency to Buyer’s obligations to proceed with the transactions contemplated herein.
