Common use of Access to Sensitive Data Clause in Contracts

Access to Sensitive Data. From time to time, Customer may require Centre to access a Supported Product or Supported System containing intellectual property, trade secrets, employee, Customer or other individual’s personally identifiable information (collectively, “Sensitive Data”). Where Customer instructs Centre to access any Personal Data, or to provide Customer or a third Party identified by Customer with access, Customer will (i) if required by applicable law, notify all relevant employees and other individuals of the fact that Centre will have access to such personal data in accordance with Customer’s instructions; and (ii) take all measures necessary to ensure that access to Sensitive Data by Customer or Centre complies with applicable law.
