Accountant Letter. Parent shall have received, in form and substance reasonably satisfactory to Parent, from Ernst & Young LLP the “comfort” letter described in Section 6.5(a).

Accountant Letter. Wisconsin Energy shall have received a copy of a ----------------- letter from Xxxxxx Xxxxxxxx LLP, which shall be in form and substance reasonably satisfactory to Wisconsin Energy and shall contain information concerning the financial condition of WICOR, dated the Closing Date, similar to the letter described in Section 3.10 of this Agreement.
Accountant Letter. API shall have received a copy of a letter from Deloitte & Touche LLP, which shall be in form and substance reasonably satisfactory to API and shall contain information concerning the financial condition of ZERO, dated the Closing Date, similar to the letter described in Section 3.10 of this Agreement.
Accountant Letter. ZERO shall have received a copy of a letter from Coopers & Xxxxxxx LLP, which shall be in form and substance reasonably satisfactory to ZERO and shall contain information concerning the financial condition of API, dated the Closing Date, similar to the letter described in Section 3.11 of this Agreement.
Accountant Letter. Acquiror shall have received:
(i) a letter from the Company's independent accountants, dated as of the Closing Date and addressed to Acquiror, the Company and Acquiror's independent accountants, reasonably satisfactory in form and substance to Acquiror and Acquiror's independent accountants, to the A-42 effect that, after reasonable investigation, the Company's independent accountants are not aware of any fact concerning the Company or any of the Company's stockholders or Affiliates that could preclude Acquiror from accounting for the Merger as a "pooling of interests" in accordance with GAAP, Accounting Principles Board Opinion No. 16 and all published rules, regulations and policies of the SEC; and
(ii) a letter from Acquiror's independent accountants, dated as of the Closing Date and addressed to Acquiror, reasonably satisfactory in form and substance to Acquiror, to the effect that Acquiror's independent accountants concur in Acquiror's management's conclusion that Acquiror may account for the Merger as a "pooling of interests" in accordance with generally accepted accounting principles, Accounting Principles Board Opinion No. 16 and all published rules, regulations and policies of the SEC.
Accountant Letter. A certificate from the Borrower’s Accountant confirming the tax assumptions in the Base Case Projections, in form and substance satisfactory to the DOE.
Accountant Letter. A certificate from the Borrower’s Accountant confirming that its certificate delivered pursuant to Section 4.1.14(f) is true and correct in all material respects as of the date of the Master Advance Notice delivered with respect to the first Advance or, if any matter covered by such certificate has been updated since the Guarantee Agreement Date, confirming the reasonableness and appropriateness of any such update.
