ACCOUNTING AND OTHER RECORDS. The statutory books, books of account and other records of whatsoever kind of each Group Company are in its possession, up-to-date and contain complete and accurate records required by the respective Laws to which it is subject to be dealt with in such books and no notice or allegation that any is incorrect or should be rectified has been received. All accounts, documents and returns required by Law to be delivered or made to any Governmental Authority in the Cayman Islands, the BVI, the PRC, Hong Kong, or any other jurisdiction have been duly and correctly delivered or made.
