Accrued and Prepaid Expenses. All utilities charges, real and personal property rents and taxes, salaries and other accrued or prepaid expenses shall be prorated between Seller and Purchaser as of 12:01 A. M. on the Closing Date, and the net amount resulting from the foregoing in favor of Purchaser or Seller, as the case may be, shall then be paid to such party at the time the sale of the Business and Purchased Assets hereunder is consummated (the "Closing") and, if such prorations would result in a payment to Purchaser, the amount thereof shall be credited against the Cash Consideration. If such prorations are not accomplished at the Closing, then, as soon as practicable thereafter, representatives of Seller and Purchaser shall determine the amount thereof and that amount shall be paid to the party entitled thereto, within ten days after each such determination is made; provided, that if payments with respect to real or personal property taxes are based in whole or in part on the prior year's taxes, there shall be a later adjustment to reflect the current year's taxes when the invoice therefor is finally rendered.

Accrued and Prepaid Expenses. All expenses and fees accrued or prepaid by Seller prior to the Closing Date (including, without limitation, rents, utility payments, personal property taxes, non-delinquent real property taxes and assessments, and FDIC assessments (including deposit insurance assessments, if any)) relating to the Target Branches shall be prorated between Buyer and Seller; provided, however, that Seller shall bear the cost of any real property taxes due for the calendar year ended December 31, 2002, regardless of whether such taxes are payable before or after the Effective Time and the real property taxes for the calendar year ending December 31, 2003 shall be prorated between Buyer and Seller on the basis of the amount of such taxes actually assessed for such period, if known, or if not known, on the basis of the amount of such taxes due for the calendar year ended December 31, 2002. To the extent Seller has paid fees and expenses in respect of the Target Branches that are allocable to the period following the Effective Time, such fees and expenses shall be included in the Purchase Price pursuant to Section 2.1(d).

  • Accrued Wages and Vacation; Expenses Without regard to the reason for, or the timing of, Employee’s termination of employment: (i) the Company shall pay the Employee any unpaid base salary due for periods prior to the Termination Date; (ii) the Company shall pay the Employee all of the Employee’s accrued and unused vacation through the Termination Date; and (iii) following submission of proper expense reports by the Employee, the Company shall reimburse the Employee for all expenses reasonably and necessarily incurred by the Employee in connection with the business of the Company prior to the Termination Date.   • Interest Fees and Expenses 1. (a) Interest on the Revolving Loans shall be payable monthly as of the end of each month and shall be an amount equal to (a) the applicable Chase Bank Rate Margin plus the Chase Bank Rate, per annum, on the average of the net balances owing by the Company to CITBC in the Company's account at the close of each day during such month on balances other than Libor Loans and (b) the applicable Libor Margin plus the applicable Libor on each Libor Loan, on a per annum basis, on the average of the net balances owing by the Company to CITBC in the Company's account in respect of such Libor Loan at the close of each day during such month. In the event of any change in said Chase Bank Rate, the rate under clause (a) above shall change, as of the first of the month following any change, so as to remain equal to the new Chase Bank Rate plus the applicable Chase Bank Rate Margin. In addition, the rate applicable under clause (a) or (b) above shall change based upon any change of the applicable Chase Bank Rate Margin or the Libor Margin; provided that any such change in such a margin such be effective on the first Business Day of the month following the month in which the Company shall have delivered, at least five (5) Business Days before the end of the month, to CITBC the financial statements demonstrating the change in EBITDA giving rise to such change in the margin, and any change in the Libor Margin shall affect only Libor Loans not yet funded as of that date. The rate hereunder shall be calculated based on a 360-day year. CITBC shall be entitled to charge the Company's account at the rate provided for herein when due until all Obligations have been paid in full.
