Accuracy and Completeness of Information. All information furnished by or on behalf of any Borrower or Guarantor in writing to Agent or any Lender in connection with this Agreement or any of the other Financing Agreements or any transaction contemplated hereby or thereby, including all information on the Information Certificate is true and correct in all material respects on the date as of which such information is dated or certified and does not omit any material fact necessary in order to make such information not misleading. No event or circumstance has occurred which has had or could reasonably be expected to have a Material Adverse Affect, which has not been fully and accurately disclosed to Agent in writing prior to the date hereof.

Accuracy and Completeness of Information. All information furnished by or on behalf of any Borrower or Guarantor in writing to Agent or any Lender in connection with this Agreement or any of the other Financing Agreements or any transaction contemplated hereby or thereby, including all information on the Information Certificate is true and correct in all material respects on the date as of which such information is dated or certified and does not omit any material fact necessary in order to make such information not misleading. No event or circumstance has occurred which has had or could reasonably be expected to have a Material Adverse Affect, which has not been fully and accurately disclosed to Agent in writing prior to the date hereof.

No event or circumstance has occurred which has had or could reasonably be expected to have a Material Adverse AffectEffect, which has not been fully and accurately disclosed to Agent in writing prior to the date hereofClosing Date.

No event or circumstance has occurred which has had or could reasonably be expected to have a Material Adverse AffectEffect, which has not been fully and accurately disclosed to Agent in writing prior to the date hereofwriting.

No event or circumstance has occurred which has had or could reasonably be expected to have a Material Adverse Affect, which has not been fully and accurately disclosed to Agent in writing prior to the date hereofwriting.

No event or circumstance has occurred which has had or could reasonably be expected to have a Material Adverse Affectmaterial adverse affect on the business, assets or prospects of Grantor, which has not been fully and accurately disclosed to Agent in writing prior to the date hereofwriting.

No event or circumstance has occurred which has had or could reasonably be expected to have a Material Adverse Affect, which has not been fully and accurately disclosed to Administrative Agent in writing prior to the date hereof.
