Accuracy of All Statements. No representation or warranty by F&M or Subsidiary in this Agreement or otherwise, nor any financial statements, statement, certificate, schedule or exhibit hereto furnished or to be furnished by or on behalf of F&M or Subsidiary pursuant to this Agreement, nor any document or certificate delivered to CBE pursuant to this Agreement or in connection with actions contemplated hereby, contains or shall contain any untrue statement of material fact or omits or shall omit a material fact necessary to make the statement contained therein not misleading.

Accuracy of All Statements. No representation or warranty by F&M or Subsidiary in this Agreement or otherwise, nor any financial statementsBANK Financial Statements, statement, certificate, schedule or exhibit hereto furnished or to be furnished by or on behalf of F&M or Subsidiary BANK pursuant to this Agreement, nor any document or certificate delivered to CBE F & M pursuant to this Agreement or in connection with actions contemplated hereby, contains or shall contain any untrue statement of material fact or omits or shall omit a material fact necessary to make the statement information, representation or warranty contained therein not misleading.
