Common use of Accuracy of Proxy Statement Clause in Contracts

Accuracy of Proxy Statement. The material which refers to Xxxxx and the Xxxxx Subsidiary Banks and which will be submitted by Xxxxx for inclusion in the proxy statement referred to in Section 10 hereof, or in any amendment or supplement thereto, mailed to the holders of Xxxxx Common Stock and Premier Common Stock will not contain any untrue statements of material fact or omit to state any material fact required to be stated therein or necessary to make the statements contained therein not misleading.
