Accuracy of Representations and Information. All representations made by Purchaser in this Agreement and all documents and instruments related to this Agreement, and all information provided by Purchaser to the Company concerning Purchaser are correct and complete in all material respects as of the date hereof.

All representations made by the Purchaser in this Agreement, and all information provided by it to the Company concerning it, are correct and complete in all material respects as of the date hereof, and further that if there is any material change in such information before the Closing Date and the issuance of the Shares, it promptly will provide such information to the Company.

All representations made by Xxxxxxx in this Agreement and all documents and instruments related to this Agreement, and all information provided by Xxxxxxx to CirTran concerning Xxxxxxx and his respective financial positions is correct and complete as of the date hereof. If there is any material change in such information before the actual issuance of the Warrants, Xxxxxxx immediately will provide such information to CirTran. Xxxxxxx specifically acknowledges that CirTran will rely on these representations contained in this Section 2.c. in connection with CirTran's ability to issue the Warrants.

All representations made by the undersigned in this Agreement, and all information provided by the undersigned to the Company or its agents or representatives concerning the undersigned is correct and complete as of the date hereof. If there is any material change in such information before the actual issuance of the Shares, the undersigned immediately will provide such information in writing to the Company.
Accuracy of Representations and Information. Distributor represents and warrants that all representations, warranties, and covenants set forth in this Agreement are truthful and accurate. Distributor shall promptly provide any information requested by LTS to verify Distributor’s compliance with these provisions. Distributor shall notify LTS in writing immediately upon the occurrence of any event which would render the representations, warranties, and covenants contained herein incorrect.
Accuracy of Representations and Information. (a) Purchaser acknowledges that the Securities are not presently qualified or registered for sale in all states (including California). Purchaser agrees to abide by the securities laws of any state in which it contemplated resale of the Securities.
(b) All representations made by Purchaser in this Agreement and all documents and instruments related to this Agreement, and all information provided by Purchaser to the Company concerning Purchaser are correct and complete in all material respects as of the date hereof.
Accuracy of Representations and Information. All of the representations and warranties made by Seller in this Agreement shall be true and correct in all material respects as of the date of the Closing and all information furnished to Buyer by Seller shall be accurate in all material respects.
Accuracy of Representations and Information. All representations made by Purchaser in this Agreement, all documents and instruments related to this Agreement, and all information provided by Purchaser to RemoteMDx concerning Purchaser and its financial position is correct and complete in all material respects as of the date hereof. If there is any material change in such information before the actual issuance of the Note, Purchaser immediately shall provide such information to RemoteMDx.
Accuracy of Representations and Information. All representations made by Seller in the Transaction Documents, and all information provided by Seller to the Buyer concerning Seller, including the information in the recitals, are correct and complete in all material respects as of the date hereof.
