Accuracy of Statements. Neither this Agreement nor any Schedule, Exhibit, statement, list, document, certificate Related Agreement nor any schedule or other information exhibit furnished or to be furnished by or on behalf of the Company Seller to the Purchaser or any representative or Affiliate of Purchaser in connection with this Agreement, any Related Agreement or any of the transactions contemplated hereby or thereby contains or will contain any untrue statement of a material fact or omits or will omit to state a material fact necessary to make the statements contained herein or therein, in light of the circumstances in which they are made, not misleading.

Each of the foregoing representations and warranties shall be deemed remade on and as of the Closing Date.
