Accuracy of Warranties; Performance of Covenants. The representations and warranties of Seller contained herein shall be, if qualified by materiality or Material Adverse Effect, accurate in all respects and, if not so qualified, shall be accurate in all material respects, in each case, on the Closing Date as if made on and as of the Closing Date but without giving effect to the Supplemental Disclosure Schedule, as well as on the date when made. Seller shall have performed each and all of the obligations and complied with each and all of the covenants, agreements and conditions specified herein to be performed or complied with on or prior to the Closing Date.
Accuracy of Warranties; Performance of Covenants. The representations and warranties of the Buyer contained or incorporated herein shall be true, accurate and correct on the date hereof and on the Closing Date, and the Buyer shall have performed each and every obligation and complied with each and every covenant required by this Agreement to be performed or complied with on its part on or prior to the date hereof and the Closing Date, respectively. Each of the documents required to be delivered by the Buyer to each of the Shareholders and the Company hereunder shall be in form and substance reasonably satisfactory to each of the Shareholders and the Company.

Buyer shall have performed each and all of the obligations and complied with each and all of the covenants specified in this Agreement to be performed or complied with on or prior to the Closing Date; and Seller shall have received from an officer of Buyer a certificate to the effect that each of the conditions set forth in this 10.1 have been satisfied.

Buyer shall have performed each and all of the obligations and complied with each and all of the covenants specified in this Agreement to be performed or complied with on or prior to the Closing and Buyer shall have delivered to Seller a certificate dated the Closing Date to such effect.

The representations and warranties of Seller and Xxxxxx contained in Article IV hereof shall be true, accurate and correct on the date hereof and shall also be true, accurate and correct on and as of the Closing with the same effect as if such representations and warranties had been made on and as of the Closing, and Seller and Xxxxxx shall have performed each and every obligation and complied with each and every agreement and covenant required by this Agreement to be performed or complied with by it.

TC shall have performed all of the obligations and complied with all of the covenants, agreements and conditions applicable to it required to be performed or complied with by it on or prior to the Closing Date.

Each of the documents required to be delivered by Buyer to Seller hereunder shall be in form and substance reasonably satisfactory to Seller.
