Common use of Acknowledgement and Consent to Amendments Clause in Contracts

Acknowledgement and Consent to Amendments. The Optionee hereby consents to the amendments to be made to the Option Agreement and the Plan effective upon the Effective Time accordance with Section 26 of the Option Agreement and Section XI of the Plan, respectively. The Optionee and the Company each hereby acknowledge that the Parent is relying on the representations, warranties, obligations and other agreements of the Optionee and the Company set forth herein in entering into the Merger Agreement and that such representations, warranties, obligations and other agreements of the Optionee and the Company set forth herein are a material inducement to the willingness of Parent to enter into the Merger Agreement and consummate the transactions contemplated thereby.
