Modifications and Amendments; Waivers and Consents. The terms and provisions of this Agreement may be modified or amended as provided in the Plan. Except as provided in the Plan, the terms and provisions of this Agreement may be waived, or consent for the departure therefrom granted, only by written document executed by the party entitled to the benefits of such terms or provisions. No such waiver or consent shall be deemed to be or shall constitute a waiver or consent with respect to any other terms or provisions of this Agreement, whether or not similar. Each such waiver or consent shall be effective only in the specific instance and for the purpose for which it was given, and shall not constitute a continuing waiver or consent.

(a) modify or amend the provisions of this Agreement;
(b) extend the time for the performance of any of the obligations or other acts of the other parties hereto;
(c) waive any inaccuracies in the representations and warranties made by the other parties contained in this Agreement or any other agreement or document delivered pursuant to this Agreement; and/or
(d) waive compliance with any of the covenants or agreements of the other parties contained in this Agreement. However, no such waiver shall operate as a waiver of, or estoppel with respect to, any subsequent or other failure. Whenever this Agreement requires or permits a waiver or consent by or on behalf of any party hereto, such waiver or consent shall be given in writing.

(a) extend the time for the performance of any of the obligations or other acts of the other party hereto;

(c) waive compliance with any of the covenants or agreements of the other party contained in this Agreement. 8.7.3 waive compliance with any of the covenants or agreements of the other side contained in this Agreement. However, no such waiver shall operate as a waiver of, or estoppel with respect to, any subsequent or other failure. Whenever this Agreement requires or permits a waiver or consent by or on behalf of any party hereto, such waiver or consent shall and may only be given in writing.

(a) Except as set forth in Section 11(b) below, the terms and provisions of this Agreement may not be modified, amended, renewed, or terminated, nor may any term, condition or breach of any term or condition be waived, except by a writing signed by the Company and you. Any waiver of any term, condition or breach hereof shall not be a waiver of any other term or condition or of the same term or condition for the future, or of any subsequent breach
(b) Notwithstanding any other provision of this Agreement, the Committee reserves the right at any time to amend the terms and conditions set forth in this Agreement, and the Board may amend the Plan in any respect; provided that, no such amendment shall materially and adversely affect your rights and obligations under this Agreement without your consent; and provided further that the Committee expressly reserves its rights to amend the Agreement and the Plan as described in the Plan. Any amendment of this Agreement shall be in writing signed by an authorized member of the Committee or a person or persons designated by the Committee.

At any time prior to the Closing Date or termination of this Agreement, all of the parties hereto may, in writing, amend or modify this Agreement, extend the time for the performance of any of the obligations or other acts hereunder, waive any inaccuracies in the representations and warranties contained herein or in any other agreement or document delivered in connection herewith, or waive compliance with any of the covenants or agreements contained herein; provided, however, that no such waiver shall operate as a waiver of, or estoppel with respect to, any subsequent or other failure. Whenever this Agreement requires or permits a waiver or consent by or on behalf of any party hereto, such waiver or consent shall be given in writing.
