Acknowledgment by Selling Parties. The Selling Parties acknowledge and confirm that (i) the restrictive covenants contained in this Agreement are reasonably necessary to protect the legitimate business interests of the Buyer, and (ii) the restrictions contained in this Agreement (including without limitation the geographic area and length of the term of the provisions of Section 2 are not overbroad, overlong, or unfair and are not the result of overreaching, duress or coercion of any kind. The Selling Shareholders acknowledge and confirm that their special knowledge of the business of Seller is or will be such as would cause Buyer serious injury or loss and substantially diminish the value of the Business if he were to use such ability and knowledge to the benefit of a competitor or were to compete with Buyer in violation of the terms of this Agreement. The Selling Parties further acknowledges that the restrictions contained in this Agreement are intended to be, and shall be, for the benefit of and shall be enforceable by, Buyer’s successors and assigns and shall be enforced to the fullest extent of the law applicable at the time that Buyer deems it necessary or advisable to enforce the restrictive covenants and other provisions of this Agreement.

Acknowledgment by Selling Parties. THE REPRESENTATIONS AND WARRANTIES OF XXXXX-XXXXXX SPECIFICALLY SET FORTH IN ARTICLE IV OF THIS AGREEMENT AND THE REPRESENTATIONS AND WARRANTIES OF XXXXX-XXXXXX SET FORTH IN THE ANCILLARY AGREEMENTS CONSTITUTE THE SOLE AND EXCLUSIVE REPRESENTATIONS AND WARRANTIES OF XXXXX-XXXXXX TO THE SELLING PARTIES IN CONNECTION WITH THE TRANSACTIONS CONTEMPLATED HEREBY, AND THE SELLING PARTIES UNDERSTAND, ACKNOWLEDGE, AND AGREE THAT ALL OTHER REPRESENTATIONS AND WARRANTIES OF ANY KIND OR NATURE, EXPRESS OR IMPLIED, ARE SPECIFICALLY DISCLAIMED.

  • Assignment by Purchaser The Purchaser shall have the right, without the consent of the Company but subject to the limit set forth in Section 2.02 hereof, to assign, in whole or in part, its interest under this Agreement with respect to some or all of the Mortgage Loans, and designate any person to exercise any rights of the Purchaser hereunder, by executing an Assignment and Assumption Agreement and the assignee or designee shall accede to the rights and obligations hereunder of the Purchaser with respect to such Mortgage Loans. All references to the Purchaser in this Agreement shall be deemed to include its assignee or designee.

  • Assignment by Seller The Seller shall have the right, upon notice to but without the consent of the Servicer, to assign, in whole or in part (but exclusive of the Servicer’s rights and obligations as owner of the servicing rights relating to the Mortgage Loans), its interest under this Agreement to the Depositor, which in turn shall assign such rights to the Trustee, and the Trustee then shall succeed to all rights of the Seller under this Agreement. All references to the Seller in this Agreement shall be deemed to include its assignee or designee and any subsequent assignee or designee, specifically including the Trustee.
