Acknowledgments; Representations. Executive acknowledges that he has had the opportunity to discuss this matter with and obtain advice from Executive’s private attorney, has had sufficient time to, and has carefully read and fully understands all the provisions of this Agreement, and is knowingly and voluntarily entering into this Agreement. Executive represents and warrants that, as of the date he is executing this Agreement, he is not aware of any events or actions that have occurred since such date that would give rise to his resignation of employment for Good Reason (as defined and set forth below and in the Prior Agreement or any other agreement relating to his employment). Executive further acknowledges that, by execution of this Agreement, he is no longer entitled to any of the compensation and/or benefits described in the Prior Agreement, including but not limited to the benefits described in Section 8(a) of the Prior Agreement.
Acknowledgments; Representations a. Member acknowledges receipt of Camperworld’s Utah Property Report.
b. Member has examined maps and other documents describing the recreational properties owned by, or made available through, Camperworld for use of its Members and is fully satisfied as to all matters which are material to Member with respect to the location, topography, and all pertinent physical characteristics of the properties.
c. Member understands that Membership is for recreational use and enjoyment of Member and is not designed for financial investment.

Executive further acknowledges that, by execution of this Agreement, he is no longer entitled to any of the compensation and/or benefits described in the Prior Agreement, including but not limited to the benefits described in Schedule 1 to the Prior Agreement.
