ACNielsen Plans. Except as provided in Section 5.6 herein, (a) with respect to any Employee Benefit Plan sponsored by the ACNielsen Group after the Effective Time, the ACNielsen Group shall cause to be recognized (to the extent applicable) each ACNielsen Employee's (i) past service with the D&B Group to the extent recognized under similar plans maintained by the D&B Group immediately prior to the Effective Time and (ii) accrued but unused vacation time and sick days, and (b) any ACNielsen Employee who participated in a D&B Employee Benefit Plan immediately prior to the Effective Time shall be entitled to immediate participation in a similar Employee Benefit Plan sponsored by ACNielsen.
