Acquirer Nominee. (a) The Acquirer may elect to have a directly or indirectly wholly-owned subsidiary of the Acquirer (or a directly or indirectly wholly-owned subsidiary of a holding company of the Acquirer) (Acquirer Nominee) acquire all of the Scheme Shares under the Scheme by giving written notice to the Company of the relevant subsidiary at least five Business Days before the First Court Date.

Acquirer Nominee. The Acquirer may elect a directly or indirectly wholly-owned subsidiary of the Acquirer (or a directly or indirectly wholly-owned subsidiary of a holding company of the Acquirer) (Acquirer Nominee) to acquire all of the Scheme Shares under the Scheme by giving written notice to the Company of the relevant subsidiary at least five Business Days before the First Court Date. If the Acquirer nominates an Acquirer Nominee to acquire all of the Scheme Shares pursuant to the Scheme Implementation Agreement, the Acquirer will procure that the Acquirer Nominee completes the acquisition of the Scheme Shares, and the Acquirer will pay the Consideration on behalf of the Acquirer Nominee, each in accordance with the terms of the Scheme Implementation Agreement and the Deed Poll.
