Common use of Acquisition Financing Indemnity Clause in Contracts

Acquisition Financing Indemnity. The Company shall, within three Business Days of demand, indemnify each Finance Party, each of their respective Affiliates and each of their respective directors, officers, employees or agents (each an Indemnified Party) against any cost, expense, loss or liability (including legal fees) incurred by that Indemnified Party (otherwise than by reason of the gross negligence or wilful misconduct of that Indemnified Party) related to, arising out of or in connection with any actual or potential legal action or proceeding arising out of or in connection with: (a) the Take-over Offer (whether or not made); (b) the Mandatory Offer (whether or not made); (c) any Indemnified Party financing or refinancing, or agreeing to finance or refinance, any acquisition of any Shares by Bidco or any person acting in concert with Bidco; or (d) the use of proceeds of any Loan.
