Common use of Acquisition Services Clause in Contracts

Acquisition Services. (i) Serve as the Company’s investment and financial advisor and provide relevant market research and economic and statistical data in connection with the Company’s assets and investment objectives and policies; (ii) Subject to Section 4 hereof and the investment objectives and policies of the Company: (a) locate, analyze and select potential investments; (b) structure and negotiate the terms and conditions of transactions pursuant to which investments in Properties, Loans and other Permitted Investments will be made; (c) acquire, originate and dispose of Properties, Loans and other Permitted Investments on behalf of the Company; (d) arrange for financing and refinancing and make other changes in the asset or capital structure of investments in Properties, Loans and other Permitted Investments; and (e) enter into leases, service contracts and other agreements for Properties, Loans and other Permitted Investments; (iii) Perform due diligence on prospective investments and create due diligence reports summarizing the results of such work; (iv) Prepare reports regarding prospective investments that include recommendations and supporting documentation necessary for the Directors to evaluate the proposed investments; (v) Obtain reports (which may be prepared by the Advisor or its Affiliates), where appropriate, concerning the value of contemplated investments of the Company; (vi) Deliver to or maintain on behalf of the Company copies of all appraisals obtained in connection with the Company’s investments; and (vii) Negotiate and execute approved investments and other transactions, including prepayments, maturities, workouts and other settlements of Loans and other Permitted Investments.

Acquisition Services. Acquisition Services. (i) 3.2.1 Serve as the Company’s investment and financial advisor and provide relevant market research and economic and statistical data in connection with the Company’s assets and investment objectives and policies; (ii) 3.2.2 Subject to Section 4 hereof and the investment objectives and policies of the Company: (a) locate, analyze and select potential investments; (b) structure and negotiate the terms and conditions of transactions pursuant to which investments in Properties, Loans and other Permitted Investments will be made; (c) acquire, originate and dispose of Properties, Loans and other Permitted Investments on behalf of the CompanyCompany and its Subsidiaries; (d) arrange for financing and refinancing and make other changes in the asset or capital structure of investments in Properties, Loans and other Permitted InvestmentsInvestments of the Company and its Subsidiaries; and (e) enter into leases, service contracts and other agreements for Properties, Loans and other Permitted InvestmentsInvestments of the Company and its Subsidiaries; (iii) 3.2.3 Perform due diligence on prospective investments and create due diligence reports summarizing the results of such work; (iv) Prepare 3.2.4 With respect to prospective investments presented to the Board, prepare reports regarding such prospective investments that include recommendations and supporting documentation necessary for the Directors to evaluate the proposed investments; (v) 3.2.5 Obtain reports (which may be prepared by the Advisor or its Affiliates), where appropriate, concerning the value of contemplated investments of the CompanyCompany and its Subsidiaries; (vi) 3.2.6 Deliver to or maintain on behalf of the Company copies of all appraisals obtained in connection with the Company’s and its Subsidiaries’ investments; and (vii) 3.2.7 Negotiate and execute approved investments and other transactions, including prepayments, maturities, workouts and other settlements of Loans and other Permitted InvestmentsInvestments of the Company and its Subsidiaries.

Acquisition Services. The Advisor shall: (iA) Serve as the Company’s investment and financial advisor and provide relevant market research and economic and statistical data in connection with the Company’s assets and investment objectives and policies; (iiB) Subject to Section Article 4 hereof and the investment objectives and policies of the Company: (a) locate, analyze and select potential investments; (b) structure and negotiate the terms and conditions of transactions pursuant to which investments in Properties, Loans and other Permitted Investments will be made; (c) acquire, originate and dispose of Properties, Loans and other Permitted Investments on behalf of the CompanyCompany (including through Joint Ventures); (d) arrange for financing and refinancing and make other changes in the asset or capital structure of investments in Properties, Loans and other Permitted Investments; (e) select Joint Venture partners and structure corresponding agreements; and (ef) enter into leases, service contracts and other agreements for Properties, Loans and other Permitted Investments; (iiiC) Perform due diligence on prospective investments and create due diligence reports summarizing the results of such work; (ivD) Prepare reports regarding prospective investments that include recommendations and supporting documentation necessary for the Directors to evaluate the proposed investments; (vE) Obtain reports (which may be prepared by the Advisor Advisor, the Sub-advisor or its their Affiliates), where appropriate, concerning the value of contemplated investments of the Company; (viF) Deliver to or maintain on behalf of the Company copies of all appraisals obtained in connection with the Company’s investments; and (viiG) Negotiate and execute approved investments and other transactions, including prepayments, maturities, workouts and other settlements Settlements of Loans and other Permitted Investments.

Acquisition Services. The Adviser shall: (i) Serve as the Company’s investment and financial advisor Adviser and provide relevant obtain certain market research and economic and statistical data in connection with the Company’s assets Investments and investment objectives and policies; (ii) Subject to Section 4 hereof and identify potential opportunities for Investments consistent with the Company’s investment objectives and policies of the Companypolicies, including but not limited to: (a) locate, analyze and select potential investmentsInvestments; (b) structure and negotiate the terms and conditions of transactions pursuant to which investments in Properties, Loans acquisition and other Permitted Investments will be madedisposition transactions; and (c) acquire, originate and dispose of Properties, Loans and other Permitted Investments on behalf of the Company; (d) arrange for financing and refinancing and make or other changes in the asset or capital structure of investments in Properties, Loans and other Permitted Investments; and (e) enter into leases, service contracts and other agreements for Properties, Loans and other Permitted Investmentsthe Company; (iii) Perform due diligence on prospective Make investments in, and create due diligence reports summarizing dispositions of, Investments approved by the results Board or within the discretionary limits and authority as granted by the Board pursuant to the Investment Guidelines, and upon request of such workthe Company, act, or obtain the services of others to act, as attorney-in-fact or agent of the Company in making, acquiring and disposing of investments, disbursing and collecting funds in connection with any acquisition or disposition, paying the debts and fulfilling the obligations of the Company and handling, prosecuting and settling any claims of the Company, including foreclosing and otherwise enforcing mortgage and other liens and security interests securing Investments; (iv) Oversee the due diligence process related to prospective investments; (v) Prepare reports regarding prospective investments that which include recommendations and supporting documentation necessary for the Directors Board to evaluate the proposed investments;prospective Investments, to the extent the approval of the Board is required; and (vvi) Obtain reports (which may be prepared by the Advisor or its Affiliates)reports, where appropriate, concerning the value and condition of contemplated investments of the Company; (vi) Deliver to or maintain on behalf of the Company copies of all appraisals obtained in connection with the Company’s investments; and (vii) Negotiate and execute approved investments and other transactions, including prepayments, maturities, workouts and other settlements of Loans and other Permitted prospective Investments.

Acquisition Services. The Advisor shall: (i) Serve serve as the Company’s investment and financial advisor and provide relevant market research and economic and statistical data in connection with the Company’s assets and investment objectives and policies; (ii) Subject subject to Section 4 hereof and the investment objectives and policies of the CompanyCompany approved by the Board: (a) locate, analyze and select potential investments; (b) structure and negotiate the terms and conditions of transactions pursuant to which investments in Properties, Loans and other Permitted Investments will be made; (c) acquire, originate and dispose of Properties, Loans Properties and other Permitted Investments on behalf of the CompanyCompany and its Subsidiaries; (d) arrange for financing and refinancing and make other changes in the asset or capital structure of investments in Properties, Loans Properties and other Permitted InvestmentsInvestments of the Company and its Subsidiaries; and (e) enter into leases, service contracts and other agreements for Properties, Loans Properties and other Permitted InvestmentsInvestments of the Company and its Subsidiaries; (iii) Perform perform due diligence on prospective investments and create due diligence reports summarizing the results of such work; (iv) Prepare with respect to prospective investments presented to the Board, prepare reports regarding such prospective investments that include recommendations and supporting documentation necessary for the Directors to evaluate the proposed investments; (v) Obtain obtain reports (which may be prepared by the Advisor or its Affiliates), where appropriate, concerning the value of contemplated investments of the CompanyCompany and its Subsidiaries; (vi) Deliver deliver to or maintain on behalf of the Company copies of all appraisals obtained in connection with the Company’s and its Subsidiaries’ investments; and (vii) Negotiate negotiate and execute approved investments loans, debt financing and other transactions, including prepayments, maturities, workouts and other settlements of Loans and other Permitted Investments.

Acquisition Services. The Advisor shall (ior shall retain other Persons to (but shall remain responsible to the Company)): (a) Serve as the Company’s investment and financial advisor and provide relevant market research and economic and statistical data in connection with the Company’s assets and investment objectives and policies; (iib) Subject to Section Article 4 hereof and the investment objectives and policies of the Company: Company and the Operating Partnership: (a) locate, analyze and select potential investments; (b) structure and negotiate the terms and conditions of transactions pursuant to which investments in Properties, Loans and other Permitted Investments will be made; (c) acquire, originate and dispose of Properties, Loans and other Permitted Investments on behalf of the CompanyCompany or the Operating Partnership (including through Joint Ventures); (d) arrange for financing and refinancing and make other changes in the asset or capital structure of investments in Properties, Loans Investments; (e) select Joint Venture partners and other Permitted Investmentsstructure corresponding agreements; and (ef) enter into leases, service contracts and other agreements for Properties, Loans and other Permitted Investments; (iiic) Perform due diligence on prospective investments and create due diligence reports summarizing the results of such work; (ivd) Prepare reports regarding prospective investments that include recommendations and supporting documentation necessary for the Directors to evaluate the proposed investments; (ve) Obtain reports (which may be prepared by the Advisor or its Affiliates), where appropriate, concerning the value of contemplated investments of the CompanyProperties; (vif) Deliver to or maintain on behalf of the Company copies of all appraisals obtained in connection with the Company’s investments; and (viig) Negotiate and execute approved investments and other transactions, including prepayments, maturities, workouts and other settlements acquisitions of Loans and other Permitted Investments.

(i) Serve as the Company’s and the Operating Partnership’s investment and financial advisor and provide relevant market research and economic and statistical data in connection with the Company’s and the Operating Partnership’s assets and investment objectives and policies; (ii) Subject to Section 4 hereof and the investment objectives and policies of the Company: Company and the Operating Partnership: (a) locate, analyze and select potential investments; (b) structure and negotiate the terms and conditions of transactions pursuant to which investments in Properties, Loans and other Permitted Investments will be made; (c) acquire, originate and dispose of Properties, Loans and other Permitted Investments on behalf of the CompanyCompany and the Operating Partnership; (d) arrange for financing and refinancing and make other changes in the asset or capital structure of investments in Properties, Loans and other Permitted Investments; and (e) enter into leases, service contracts and other agreements for Properties, Loans and other Permitted Investments; (iii) Perform due diligence on prospective investments and create due diligence reports summarizing the results of such work; (iv) Prepare reports regarding prospective investments that include recommendations and supporting documentation necessary for the Directors to evaluate the proposed investments; (v) Obtain reports (which may be prepared by the Advisor or its Affiliates), where appropriate, concerning the value of contemplated investments of the CompanyCompany and the Operating Partnership; (vi) Deliver to or maintain on behalf of the Company and the Operating Partnership copies of all appraisals obtained in connection with the Company’s and the Operating Partnership’s investments; and (vii) Negotiate and execute approved investments and other transactions, including prepayments, maturities, workouts and other settlements of Loans and other Permitted Investments.

The Advisor shall: (iA) Serve as the Company’s and the Partnership’s investment and financial advisor and provide relevant market research and economic and statistical data in connection with the Company’s and the Partnership’s assets and investment objectives and policies; (iiB) Subject to Section Article 4 hereof and the investment objectives and policies of the Company: (a) locate, analyze and select potential investments; (b) structure and negotiate the terms and conditions of transactions pursuant to which investments in Properties, Loans and other Permitted Investments will be made; (c) acquire, originate and dispose of Properties, Loans and other Permitted Investments on behalf of the CompanyCompany (including through Joint Ventures); (d) arrange for financing and refinancing and make other changes in the asset or capital structure of investments in Properties, Loans and other Permitted Investments; (e) select Joint Venture partners and structure corresponding agreements; and (ef) enter into leases, service contracts and other agreements for Properties, Loans and other Permitted Investments; (iiiC) Perform due diligence on prospective investments and create due diligence reports summarizing the results of such work; (ivD) Prepare reports regarding prospective investments that include recommendations and supporting documentation necessary for the Directors to evaluate the proposed investments; (vE) Obtain reports (which may be prepared by the Advisor or its Affiliates), where appropriate, concerning the value of contemplated investments of the CompanyCompany and the Partnership; (viF) Deliver to or maintain on behalf of the Company copies of all appraisals obtained in connection with the Company’s and the Partnership’s investments; and (viiG) Negotiate and execute approved investments and other transactions, including prepayments, maturities, workouts and other settlements Settlements of Loans and other Permitted Investments.

The Advisor shall: (iA) Serve as the Company’s and the Partnership’s investment and financial advisor and provide relevant market research and economic and statistical data in connection with the Company’s and the Partnership’s assets and investment objectives and policies; (iiB) Subject to Section Article 4 hereof and the investment objectives and policies of the Company: (a) locate, analyze and select potential investments; (b) structure and negotiate the terms and conditions of transactions pursuant to which investments in Properties, Loans and other Permitted Investments will be made; (c) acquire, originate and dispose of Properties, Loans and other Permitted Investments on behalf of the CompanyCompany (including through Joint Ventures); (d) arrange for financing and refinancing and make other changes in the asset or capital structure of investments in Properties, Loans and other Permitted Investments; (e) select Joint Venture partners and structure corresponding agreements; and (ef) enter into leases, service contracts and other agreements for Properties, Loans and other Permitted Investments; (iiiC) Perform due diligence on prospective investments and create due diligence reports summarizing the results of such work; (ivD) Prepare reports regarding prospective investments that include recommendations and supporting documentation necessary for the Directors to evaluate the proposed investments; (vE) Obtain reports (which may be prepared by the Advisor Advisor, the Sub‑advisor or its their Affiliates), where appropriate, concerning the value of contemplated investments of the CompanyCompany and the Partnership; (viF) Deliver to or maintain on behalf of the Company copies of all appraisals obtained in connection with the Company’s and the Partnership’s investments; and (viiG) Negotiate and execute approved investments and other transactions, including prepayments, maturities, workouts and other settlements Settlements of Loans and other Permitted Investments.

Acquisition Services.
