Actions of Seller and Purchaser at Closing. At Closing, the following events shall occur, each being a condition precedent to the others and each being deemed to have occurred simultaneously with the others: (A) Seller shall execute, acknowledge, and deliver to Purchaser the instruments (in sufficient counterparts to facilitate recording) necessary to convey the Subject Properties. The assignment and xxxx of sale of the Leases and Xxxxx and attendant property and fixtures shall be on the form attached hereto as Exhibit D. Assignments on forms required by governmental entities shall be prepared to be executed and delivered by Seller to Purchaser at Closing;
