Actions of Venturers. In making any decisions with respect to the Facility and the Joint Venture, each Venturer agrees to cause its representatives on the Joint Management Team to act reasonably, promptly, honestly and in good faith and strictly upon the merits of the proposed decision and to exercise the degree of care, diligence and skill that a reasonably prudent person would exercise in comparable circumstances.
