If any provision of this Agreement is declared void or invalid by any court of competent jurisdiction, all other provisions of this Agreement shall remain binding. During the term of this Agreement, the parties shall take such actions and revise this Agreement as necessary or advisable to comply fully with all laws, rules and regulations applicable to the performance and discharge of such services, including without limitation the Health Insurance Portability and Accountability Act of 1996 (Public Law 104-191: “HIPAA”) and the rules and regulations promulgated thereunder, as well as guidance issued by the United States Department of Health and Human Services (the “HIPAA Regulations”). Neither party shall use the name of the other in any promotional or advertising material unless review or approval of the intended use is obtained from the party whose name is to be used. Nothing in this Agreement shall be construed to permit the assignment by either party of any rights or obligations hereunder, and such assignment is prohibited unless evidenced by the written consent of each of the parties. In addition, this Agreement contains all of the terms and conditions between the parties and may be amended only in writing signed by each of the parties. The individuals executing this Agreement represent that they have the authority to bind their respective party.
